Thank you very much for holding on. Sorry about that. No problem. I hope you enjoyed the music. Oh, i did, um, let’s. See, so these are laws that non-profits have to comply with. And a lot of these laws haven’t really kept up with the new solicitation methods that that charities have that’s correct. A lot of the laws are are older and do not address any sort of internet solicitations. Ah, there are such guy lines is the charleston principles which charities can follow in determining whether they need to register in a variety of states that they are soliciting online right? And we’ll get a chance to talk about the charleston principles. It’s, it’s, but there’s there’s not only online. But then there’s also the mobile giving world, of course, and that is growing by leaps and bounds. We actually just had a multi state they nasco it’s, the national state association charity officials put out some wise giving tips for charities on how to manage ah, and be wise on the internet when doing any sort of mobile giving or any sort of internet solicitation. So you definitely charity should be definitely protecting their brand and making sure they know who is soliciting for them on the internet. Um, and we’re going to get to that document in the wise giving tips the primary question, i think, is what what is a solicitation? And unfortunately that really varies from state to state, you’re correct. In a lot of states, the definitions might be a little bit different in ohio. Uh, it is when a person asked for anything of value, so it can’t be money can be time, and that donation would benefit a charitable organization or a charitable purpose and that’s that’s fairly consistent across the states. But but there are there are nuances when you start to drill down into well, okay, so sending us mail asking for a donation. That’s, that’s. A solicitation everywhere but as you start to go down, too, email oppcoll having a donate. Now, button on your site, driving people to the donate now button that’s, where it starts to get a little murky across the states. Definitely, and that’s, where the charleston principals come into play, and that’s, where the differences arise, because i believe only two states, tennessee and colorado, have adopted the charleston principles into law. Ah, many other states, including ohio, used them as guidelines for when to determine if a charity needs to register with our state if they have such a thing as it donate now, button or any sort of online solicitation. Okay, so we know that they’re adopted in only two states. Right now. Suppose you’re not in aa one of those two states. Can you just pick up the phone and talk to somebody and ask whether they use the charleston principles as guidelines? I would advise calling either the attorney general and your state or the secretary of state’s office, whichever office has the charity regulator located in it and see how they treat the charleston principles you could call up if you’re in ohio, call up our office, we would be able to tell you we used merely as guidelines to guide us as to whether charity needs to register. Obviously, if you are located in a certain state, if you’re located in ohio and you’re soliciting from there, you would have to register anyways, if you’re not let’s, say you’re located in west virginia, then we would go through the factors with you to see if you would need to register in ohio simply by having a donate. Now button on your website. A lot of times, though, i find clients make a call like that, but ultimately the final responsive to get is always we can’t tell you or we can’t advise you whether to register, okay, that and that might be the response in some states and ohio. I mean, we we would try to help you out as much as possible again, we can’t give legal advice, but i mean, i think we could steer you in the right direction isto whether you would need to register or not looking at whether you are, you know, mailing or emailing any solicitations to someone in ohio, if you are soliciting through an interactive website meaning you can collect donations straight through that website and whether you’re these are the two big factors whether you’re specifically targeting a person in our state or whether you’re receiving donations from a purse from people in our state on a repeated an ongoing basis or substantial basis, that so we would go through those factors and try to work with the charity to figure out whether you need to register here or not. We would definitely do that, ok, maybe ohio’s friendlier than a lot of states that that may very well be, but and i’m not saying it’s not worth the call it’s just that because it definitely is worth the call. As you said, either to the attorney, general’s office or the secretary of state, it is worth the call. This is that sometimes, you know, the ultimate answer should i register falls on usually it falls to the to the charity and, you know, and they’re sort of referred to their legal advisors, but it’s still worth the call because, um, you can you can get a fair amount of help. Definitely. Okay, um, we have just about a minute or so before break. Why don’t you explain what thes charleston principles are just so so everyone’s acquainted with them? Sure, they are guidelines which, uh, charity can follow, too. See if they should register in a state merely if they are soliciting on the internet. So what they need to look at if they are domiciled in a state, they will probably need to register there. And what i mean by domiciled is if they have their principal place a business in that state, if they’re not domiciled in the state, they need to look at there. Ah, non internet activities. And if those alone would cause them to register in that state, like if they’re mailing or calling people in that state, they would need to register if they are just asking for donations through their website. And if they’re either specifically targeting people in that state on their website for donations or they’re receiving contributions from that state on a repeated and ongoing basis for a substantial basis, then they would need to register in that state all about looking at the contacts in that state. All right, we’re going to take this break. When we come back, we’ll find out where we can see the charleston principles. They actually happen to be my subway read. I carry them with me all the time, and i read them every, you know, like, every six months or so, i just go back and read them on ben. Diane and i will we’ll keep talking about what’s a solicitation on, including talking about crowd funding sites to stay with us. Could you tell at the beginning of that interview that i was badly out of breath? That’s because i was late to the studio. This was the one hundred ninety ninth show. Nine thousand plus ofyou. Okay. Diana it’s. Um, let’s. See, where can we? What? We find these charleston principles to go and read them ourselves? If we would like to do so, i believe they’re located on the nasco net website. You can go to nasco net dot or ge. Okay. And that’s an a s c o net dot org’s the national association of state charities officials of which you are a boardmember. Yeah. And that’s, the organization that created the wise giving tips documents. So while we’re talking about finding documents, what what’s the full name of that document? Sure, it’s the internet and social media solicitations wise giving tips and the tips are for three separate audiences for charities, donors and fund-raising platforms, and it gives recommendations and tips on how to give and fund-raising wisely online. All right, the internet and social media solicitations wise giving tips and that’s also on the nasco website, right? Correct. Okay, crowd funding the crowd funding sites. Those raised a lot of questions. I get this a lot when i’m doing speaking, what if we are using crowd rise or deposited gift? What do who’s supposed to register them? Right? If you’re a charity again, i would direct the charity to the charleston principles. Usually on those websites, you’re not targeting a specific state unless maybe an event is taking place in a certain state or, you know, your charity is located in that state, so and i think it’s unclear also, whether the fund-raising platforms themselves need to register with states that’s still kind of an open question, okay? And also get questions related. When charity’s air working with community foundations and and the foundation is sort of the past through for the for the donations, the question then is who should be fun? Who should be registering and again looking at the charleston principles if it’s just a passer, entity that’s just doing some administrative work with processing donations, they might not need to register, so i would again and advise those community foundations toe look at the principles right for the community foundations and then the charity’s the same who exactly? Okay, but yeah, as we said, unfortunately, you don’t know for sure, except for two states, whether the state is is adhering to the principles. How come, how come, why is it that more states haven’t adopted them either? Officially, i guess through their legislatures or may be not as an act of the legislature, but just officially through the office that manages the charity registration process in each state, and that is a good question. I am not. I’m not really sure of the answer there, and yeah, i should probably talk to tennessee in colorado and see how they got that pushed through. I’m not sure why more states haven’t actually officially adopted them, okay, dahna because they are really cool, and they’re called charleston principles because i believe it was in meeting of nasco that was held in charleston, south carolina, where they were. These were adopted. I think they were. The discussion started there, yes, in charleston, south carolina, that’s. Why they’re called goodbye, not okay, but maybe not adopted there. Alright, yeah, attorney holding my feet to the fire e used to be an attorney, but so now that now i run roughshod over things. So thank you for being explicit. Okay, what about? We know there’s one state where you don’t have to register. Tell us about that. I believe that. Arizona? Yes. Yes, arizona. I believe they recently did away with their registration statue. I’m not too sure about that, but that is not a growing trend that icy. Definitely. I see that kind of an outlier. Okay, okay. So one point does not one data point does not make a trend. Things that i can’t even make a line from one point. Okay, but yes, arizona has explicitly said charities that are on ly soliciting in our state. I don’t need to register and yeah, they had a statutory system around registration and that was repealed or, you know, largely repealed. Yes. Um, now you made a point earlier that we wanted i want, like, just liketo amplify your home state where your incorporated that we should certainly be registered there. Yes, than any place where you have any principal place of business. Well, okay. So differentiating the inc you’re you’re only incorporated in one state, right? Because you’re not you’re not not-for-profits corporation, and that can only be one state. But you could have places of business. In lots of states, you can have the principal place of this that’s, probably in one state, but then you can have multiple locations everywhere and if you’re, you know, conducting solicitations from those locations and yes, definitely should be registering in the states. Now you’re you’re a, uh an important player in this because you’re a nasco boardmember but it’s so, um, divers, because we’re fifty difference sets of statutes and, um, timetables and fees and things do you do you get frustrated by this process? It it can get frustrating. And we definitely hear from our constituent charities that it is frustrating and that’s why we do have twelve states that are working on a single poor, cracked the website where charities khun go and register and they wouldn’t have to duplicate the process over and over again. Okay, this is the single portal initiative. Exactly. What more can you tell us about what state that is? Or i don’t mean state. You know what? What state it’s in, etcetera. What can you tell us? Uh, well, the single portal project is being headed by twelve pilot states. They include california, illinois, alaska, colorado, connecticut, hawaii, massachusetts, michigan. Mississippi, missouri, new hampshire and tennessee and basically it’s, a project that has three components one obviously is to create a unified elektronik registration system that will allow non-profit organizations and then they’re professional fundraisers to goto one site and fulfill their registration requirements for all states eventually at that site. Um, another component is also to be a public website where anyone can get this information that’s filed, academics could get it tio create analysis of emerging issues and trends. The public can look up this information to make more informed choices about their charitable giving and also non-profits can look up this information to compare thie effectiveness and cost of their professional fundraisers that they hyre and third, this would be a great tool for regulators. They could direct their limited resources away from registration and toward their core purpose of preventing fraud and misuse of charitable funds. Is this ah, envision to be a free site for charities? Um, that is a good question. I not sure about that. I know that this is kind of a three year time period where they’re going to try to get this off the ground rather soon and have it. Build up in phases over the next three years. I am not sure about the fees. I do not know that. Ok, ok. Um, timetable do what stage is it at now? It is at the beginning stages. Thie pilot states created a nonprofit organization in delaware. Teo, help develop and operate the website. And they just decided that the urban institute they chose them to design and build the single portal website. So it’s in the process of being built. And they are also establishing an advisory committee to help with the design and operation of the system. Okay, is it is it funded yet? Or were steven still too early for that it’s in the process of funding and the the non-profit, the multistate registration of filing portal the non-profit that was formed is reaching out to the non-profit community. Now, with grant proposals to help build up funds for this project. Okay, so that’s something to look forward to. Handup so is there not yet a timetable? Like when this should be live? Or maybe not all twelve states, but at least some initial minimum viable version? Um, i think i mean, the goal is to roll. Out the stages in the next three years. So hopefully in the next, maybe two years, the registration sites would be up and running. But please don’t call me that, okay? Okay, we won’t. Nobody listens to this show anyway, diane so you’re fine. Okay, well, we know that arizona standing alone. Not a trend, but are there any other trends that you do see coming up? The big trend icy is internet fund-raising on and that’s. Why nasco did put out this wise internet giving tips the intern fund-raising on the internet is growing. I believe in two thousand three it was about six point four percent of all charitable giving, but still it’s growing lead some bounds year by year. So we were really urge charities. Teo be aware of their presence on the internet and be aware of who’s raising money for them on the internet. A lot of thes fund-raising websites, they download the database of charities from guide star. And then anyone can just go on and start fund-raising for a charity, which is great. But you also want to make sure that no impostors are going out there and claiming that their associate it with your charity and trying to gain access to your donations, so check out the wise giving tips on also the charleston principles those will help you, andi will put, ah, put links to those on the takeaways from the show, which go up on the facebook pages afternoon diane, please leave us with the nasco conference that the charities are welcome to come, too. Thomas kelly, who is a professor at u n c school of law, and john columbo, who’s, professor and interim dean at the university of illinois at chicago school of law and then one panel, i think, is going to be extremely interesting about ratings and evaluating charities. We have three. Panelists are taylor, who is president and ceo of the better business bureau. Wise getting alliance. Daniel bora chop, who is president of charity watch, and ken berger, who is the ceo of charity navigator. And then we also have panels on a messa you bit executive compensation are wise giving tips and then also a single portal update, so it should be a great conference, and you can get more information about the conference at nasco. And there was another time it was about two or three years ago and i’m sick of it. It’s happening too often do two points like that make a trend? Absolutely. I’m looking forward to two hundred next week. Cool. Yes. I’m glad you’re gonna be calling in for with us. Thank you very much. Thank you, it’s. Very exciting. Really? One hundred ninety nine shows ago. It’s one hundred ninety nine weeks it’s it’s. Remarkable. Um, we’re talking this week about the board’s role in hiring the executive and i’ve i understand that there are a lot of executives in transition. I think so, tony and it looks like some surveys have confirmed that it’s certainly been syrians with some of my clients and even on boards i’ve sat on over the last couple years. And there’s, a great group called compass point out in san francisco there nationally known as one of the most respected non-profit support centers and together with blue avocado, a non-profit online publication, they have a national survey on leadership succession in transition going on just right now. The last time they published the results with in two thousand eleven, and they found that sixty seven percent of current executive anticipated leaving within five years and ten percent. We’re currently actively looking to leave right then, and in two thousand eleven, the economic times weren’t so were so great. So sixty seven percent anticipating leaving within five years that’s a pretty staggering number. So now we’re already three years into that survey into that five year projection. Yeah, and sixty seven percent of two thirds. So if we had held this show off until two thousand sixteen, then it would have been moved. But there’s a new one coming out, you said, yeah, well, they’re they’re just starting the survey online now so you can participate on that. I don’t know the website, but if you, you know google non-profit transition survey executive transition survey, thank you, you’ll get that okay, and its compass point it’s a compass point and blew up a goddamn kottler who you’ve. You’ve mentioned blue vaccaro before i know. All right, so, yeah, two thirds of of ceos were expecting to be in transition within five years and where we’re only three years into it now. So the presumably these people are still looking. What? But boards don’t really spend enough time preparing for this kind of succession, do they? Well, you know, in many cases they don’t, and sometimes, you know, they might stay, they don’t get the chance because their executive director comes up to them and give us in two weeks notice, and now, you know, the board may be used to meeting every month or every other month or even every third month, and now all of a sudden they’ve gotta ramp up their efforts and find an executive to come in in two weeks. That’s going to be really tough to do on dh, you know, again, if we say at any given time, two thirds of the non-profit executives are looking to leave their job, you know, it’s very likely that within your board term, you know, you may have an executive transition to manage, and sometimes with very little notice. So that’s that’s? Why? I think succession planning is just really a core duty of non-profit board. Well, how do we let them get away with this two week notice? I mean, the ones i typically see are you know, the person will stay on until a successor is found, you that’s, not your experience. Well, you know, you’re really lucky if you if you do get that situation, i think most non-profit executives are hired on at will basis. Meaning that there’s, not a contract to stay there for a given number of years. Either party can conception, rate or terminate the employment relationship at any time. And as the average, you know, employee may give two weeks notice to go on to another job there. Many executives who feel the same way that they, you know, they may feel like they own allegiance to an organization. But another opportunity comes up and it’s not going to be held for them forever. And they may want to move on. Um, and they may feel like what they gave the board really advanced notice that they might be looking for something that they might get terminated. So they may keep that information from the board until the last two weeks. Well, because all right, so that i am way in the dark because i would. I just presumed that executive directors, ceos even if small and midsize shops were not at will. But they were but that they were contract. I mean, when i was a lonely back in my days of wage slavery, director of planned e-giving i was in at will employees, which means you can end it. Like you said, you could end at any time and so can they like, if they don’t like the color of your tie one day they can fire you, you’re at will. But but that that’s typical for for ceos and and executive directors. Yeah, i think for smaller non-profits it’s very, very common. Oh, i just always assumed that these were contract positions with termination clause is and no. Okay, but, i mean, you know, it’s, your practice, i’m not i’m not disagreeing with you, i’m just saying i’m okay, i’m learning something s so that’s that’s incredibly risky. So it is. It just put you in that position of saying, well, i need to replace somebody immediately and i don’t you know, as a board we don’t meet very often can we even convene within the two weeks to find the process going? It’s going to be so much better if he had a plan of what happened in case you know, our executive every doesn’t give two weeks notice, and even if the executive says, you know, in your scenario, maybe a longer notice, maybe, you know, in six months, if they do have a contract at the end of my contract, i don’t plan to renew, you know, i think we should go through the process of looking for for a successor and having a plan or thinking about that plan that is just coming up with something on the fly is going to probably result in a much better choice for selection of a leader in the future and that’s going to be critical and how well the organisation operates and how the beneficiaries of your organization are going to do are they going to get the benefits of a strong organization or are thinking is suffer because the organization can’t do it? You can’t advance mission as well. It should. Yeah, i mean, you’re you’re calling it on the fly. I would say two weeks notice for an executive director. Departing is is a crisis even four weeks notice? Yeah, in many cases you’re you’re absolutely right. Okay, i’m right about something. Thank you. You’ve got something right today. All right. So what do we what do we do, teo, to plan for that? Just well, you know, i think the first thing the board has to do is start toe think about the contingencies. So what do we do and then actually want one thought that comes to mind that, uh, that you raised tony is should we get our executive director on an employment contract? If they are and that will employee do we want to lock it in? And they’re sort of pros and cons with that? If you’ve got, like, not the best executive director in the world, terminating somebody on a contract becomes much, much more difficult than if they were at will employees. So, you know, you kind of have to weigh the pros and cons, but, you know, revisiting your current executives director and the employment relationship is maybe step one. Oh, and suddenly he was thinking about, well, do you have a really strong job description that really reflects with the board wants of the executive director and on the basis on which the board is reviewing the executives performance on dh? Maybe the sort of initial question to ask in that area? Is do you actually review the executive director and that the board you absolutely should? You and i have talked about that the board’s is not part of their fiduciary duty to evaluate the performance of the the ceo? Yeah, i think so. I think it’s a core part of meeting their fiduciary duties that really, you know, as a board, if you meet once a month or once every couple of months or whatever what’s more important, you know, then really selecting the individual who’s going to lead the organization in advancing its mission and its values and implementing your plans and policies and making sure the organization complies with the law. Taking your leader is probably the most important task that the board has, because the board is delegating management to the to that leader. Yeah, absolutely. And i think it’s often forgot naralo overlooked that individual board members inherently have no power and no authority to do anything think so, it’s only as a group. When they meet collectively, can they take aboard action? So for individuals to exercise, you know, powers on behalf of the organization that has to be delegated to them and typically the person responsible for everything is that ceo or the executive director. Okay, gene. So now we’ve let’s say, we’ve learned that our exec is departing and let’s not make it a crisis situation, though let’s say this person is generous enough to give six months notice. So, you know, let’s, not make it a crisis. Where what’s our what’s, our what’s, our first step as the board. Terrific. And i’ll just add, even if you don’t, if you know your executive is not leaving any time soon and i think you should go ahead and start this process anyway. Oh, yeah, clearly we should be. We should have a succession plan in place. Yes, we’ve talked right? Okay, yeah. So i think the first thing to do is get a committee together so it might include boardmember some outside experts outside with the board. If you don’t have that internal expertise and just getting different perspectives out there, some of your other stakeholders might be really important in what, you know what you want to look for in an executive in the future. So get that committee together first, get the buy-in of the current executive director. So unless it’s going to be, you know, a succession plan for a termination? Yeah, we’re really unhappy with executive director, right? Let’s not get into that. Yeah, let’s get their buy-in and have them help in the process. Especially with your scenario where they’re giving a six months notice and everything is amicable. Let’s, you know, see? Shoot, who knows better about the organization than the executive director that’s in place right now. So i’m getting there buy-in and help contribution. I think it is pivotal. Does this committee have to be comprised of hr experts? Why? I think having a least one or two hr experts is going to be really helpful. But i i think it’s more than that. It’s, you need program people who understand what the executive you know roll is no respect to advancing the program. You need the fund-raising people to know well, what is the going to do with respect to fund-raising perhaps the seeds, the lead fundraiser and some small organizations as well. So we need thio gather a bunch of different people with different perspectives and expertise to figure this out. And i think that’s a very good point to include a t least a programme expert. Now, could this committee include employees, or does it have to be sure you can absolutely on dh? You know, you might even have have have different subcommittees in there. So eventually this is going to go up to the board. But as the committee’s doing the legwork for determining what? You need an executive director and putting together a job description, and and, you know, perhaps, but the performance evaluation is going to be based on for the future executive director all those things can get, you know, we’d be aided by the contribution from several areas. Okay, okay, what are your thoughts on hiring a recruiter vs vs? Not well, i you know, i think it depends upon what the organization shins resource is our and the organization should understand the marketplace it’s in a swell hiring two great executive director is the competitive thing. So, you know, if you’ve got a lot of resources and you’re able to you want to allocate an appropriate amount of resource is tio what i think again is making one of your most important decisions of the board? I don’t think you want to do this on the cheap at all. I’m just the same way i didn’t want you to do it on the fly or or or in a rushed matter-ness think you want to invest in this, and if you don’t have great expertise inside about on things about, like, doing job interviews and doing background checks on the sex thing, you know how to differentiate between one candidate and another when they all look good on paper and when they’re maybe professional interviewees, but they’re not there, maybe not great leaders. How do you figure all those things that if you don’t know, that dahna an executive search firm could be a great help, and it can just open up the marketplace of potential candidates as well, especially if they, you know, decide to do a regional or even a national search. It really can ramp up who who you’re going to see in front of you and the quality of the candidates that the selection comedian the board eventually will have to choose from. Okay, does the committee now come up with a couple of candidates to bring to the board, or is it better for the committee to choose one and bring that person to the board? How does this work? You know, i think the committee should be tasked with bringing several candidates up on sometimes it may be a multi tiered process so they might go through two rounds of screening, for example, and and at least let the board see who’s made the first cut. And then and then, you know, present to the board, the final, perhaps two or three candidates. If, if you’ve got, you know, the ones that are very close and in quality in terms of what the board want in an executive director, i think that’s pivotal. I wanted to add one. Nothing, though. I’ve seen this done before, tony and i don’t really like it and that’s when. If a search committee or research consultant comes up and says, you know, to the board, tell me what you want in the good executive director everybody, you know, spend five minutes, write it down and send it to me or take it home and email it to me oh, and tell me what you want and then the search consultant collates the the the answers and then that’s, you know, the decision about that’s what’s going to be the qualities you’re going to look for. I think this needs a lot of discussion and deliberation and the value of that, you know, that that thought process and that really difficult thinking and getting all those generative questions out there is going to produce a much better product in terms of what you’re looking for and who you can get and how you’re going to do it. Yeah, you you send this tio use email and, you know, it’s going to get the typical attention that an e mail gets, like a minute or something. You know, it’s it’s going to get short shrift. And your point is that this is critical. It’s it’s, the leader of your organization, you want do you want the contributions of the committee to be done in, like a minute off the top of their head just so they can get the email out of their inbox? Yeah, definitely. We could talk about board meetings and another show, but put this at the front of the meeting and spend, you know, seventy five percent of your time talking about this. This is really, really important, okay, you have some thoughts about compensation, and we just have a couple minutes left. So let’s let’s say we’ve the board has well, i can’t jump there yet. Who should make the final call among these candidates? Is it the board? Yeah, i think it should be the board that makes the final approval, but they they’re going to put a lot of weight based on what? The executive of the search committee, you know, tell them who they’re you know, the recommendation is okay, and i think that toe add one more thing to it is make sure the organization looks good to clean up your paperwork and your programming and even your facilities. Just make sure you’re going to be attractive to the candidate as well. Because if you want to attract the best, you better be looking your best as well. Okay, okay. And the with respect to compensation now, we’ve talked about this before. What? What’s excessive. And there should be calms and things like that, right? So it’s really important to make sure that the board or unauthorized board committee one that composed just board members, approved the compensation before it’s offered to the candidate. Even if you don’t know that they’re going accepted or not, once he offers out there that compensation package, total compensation should have been approved by the board. And you want to do it with using the rebuttable presumption of reasonable procedures unless you know its far below market value. Okay, if you get payed accessibly or if you pay somebody excessively, that could be penalty taxes for everybody. Including the board. Should be careful of that. We have talked about that rebuttable presumption before. Yeah. All right, then. We have to leave that there. I look forward to talking to you next week on the two hundredth great. William mccaskill is the author of doing good better, a book that introduces effective altruism for individuals. He lives in oxford, england, but he’s calling from somewhere on the west coast. I’m not sure where to talk about his new book. Doing good better how effective altruism can help you make a difference published just in april bye. Gotham books, an imprint of penguin random house he’s at will mccaskill on twitter. Well, mccaskill welcome to tony martignetti non-profit radio. I’m going to speak to you. It’s. A pleasure. Where are you calling from? Calling the man view just outside of san francisco. Okay. Cool. Is it? Is it beautiful there in in mountain view today. It’s beautiful every day and manage everything as opposed to as opposed to oxford, which is probably not beautiful every day. No it’s, really gray and rainy most days wait. Experience being in the california summer love it. Wonderful. Welcome. Um, effective altruism. What you’re you’re working at the intersection of economics, psychology and philosophy. What is this about effects? Vocalism is about using your time and money as effectively as possible to make the world a better place. That means taking a scientific approach using high quality evidence, good data. Careful, logical reasoning in order to ensure that when you give to charity or when you choose a career you’re aiming to use to make a difference, they’re using it did not just make a difference, but to make the most difference, you can’t the most the biggest possible difference. That’s, right? And so there’s a lot of economic theory wrapped up in this and it’s effective altruism is is and the book is devoted to individuals, and they’re giving, right? Yep. Okay, but we’re going to draw a lot of lessons for non-profits because there are there are valuable lessons there in in what you’re recommending for for individuals. Um, i love i love stories. So could we and you introduce ah, the, uh, the theory of effective altruism with a ah de worming story in kenya. Can you can you share that, please? At sure. So in the nineteen nineties, michael claimer who is ah development economists of it he was he was working in kenya and he’s working with a charity called i c s that did a variety of education programs for the poor and that currency on dh. He was working with him on dh. He just had the obvious question, which was well, have you actually tested this to see if it works to see how effective it wass andi answer was that they had on dh. In fact, at the time, basically, no one had bean doing high quality experiments to test different development program, and so what they did was they started investigating a ll the different things that this child he was doing, andi, the results were really interesting, so they take something that seemed very obviously like you have a big impact distributing textbooks, for example, to schools where they only have one textbook for classroom on dh they to save me, the textbooks buy-in seven schools, then they just monitor seven other schools where they wouldn’t do any intervention in order to compare what the difference wass andre actually found there was no effect. Meeting textbooks didn’t have didn’t include outcomes totally will thinking, well, it’s, totally counterintuitive we would all think that students with more textbooks are going tto learn better have better education outcomes because they don’t have to share one textbook for twenty children the way it often is it’s just so intuitive, completely counterintuitive the things that we think obviously that’s really effective. Often end up having no impact can’t even have a negative impact, harmful and then other things which we would not even know about or think others very boiling or underwhelming can be extraordinarily effective. So, for example, what they ended up testing. So we tested textbooks, flip talks all these just had no effect. And then they ended up testing de worming school children. So over the billion people worldwide suffer from intestinal worms on dh they can be cured very cheaply for less than dollars per child. And so they find hyre rolling out masti worming programs to a number of schools and they found an extraordinary effect on increasing school attendance. It was really quite remarkable on when it was followed up with later on it was found that the children had been de wormed. Had improved earnings on were ableto work more violence as well. So that’s, very boring, extremely unsexy program end up having this extraordinary impact in terms of improvements to the lives of the poor and kenya. Love it. Yeah, you it’s not something we would think of. It takes a development specialist on and i think i think you make it clear. That hey just was talking to a friend who worked for the world bank or one of the development programs, and they suggested that person suggested de warming, and it led to the results that you describe, but yeah, you know, actually, i get a physical chill when you’re listening to you tell the story, just like it did when i was reading it. Yes, intuition leads us astray so, so much. And if we really want to make the most effective, biggest change possible, we have to be more ah, analytical, more really a little more cold hearted, considerably more cold hearted than we are about are giving decisions. That’s why, i think i mean, we take this approach when we buy products, so you know, if you you wouldn’t just normally buy a product that someone just comes up to you in the suite and pictures you want you want toby, we kind of if you’re buying a laptop, you’d want to look into it. You’d want to ensure that you’re getting you might look at the views online. You want to ensure that, uh, you were buying the best laptop you can for e-giving price, i’m just saying we should take a similar sort of approach when we’re giving to charity, we should be trying to look up, not just like, does this charity have glossy leaflets with smiling children? But actually, if i give a certain amount of money what’s the outcome of that going to be and how can i spend my money is such that, you know, i can get the best value with my donation. Brilliant. Okay? And you devote the first half of the book to siri’s of five questions we have just about two minutes before our first break, but of course we’re together for the hour, so not to worry, why don’t you introduce? Are the first question and just talk a little about it and, like, roughly a minute and a half or so. Okay, so the first question is how many people benefit and by how much? So this is the thought that when you’re going to do any sort of activity, whether that activity of your non-profit or donating or cubine volunteering thie impact you have should be cast out in terms of impact on people’s well being, and that means if you can benefit more people. If you could benefit the same number of people by a greater amount, then that’s better to do and that’s just crucial neato. Look att, um, the outcomes actually, a program has rather say when looking at charity, you know, how much is the ceo paid or what the overhead costs. They are actually that important? Because it what we should care about ultimately is just how is this money that we’re giving, turning into improved improvements in terms of people’s quality of life. Wherever, whatever, whether you’re washing dishes or driving a taxi podcast pleasantries to those left listening, doing all those things and and and other things and of course, affiliate affections to our many affiliate am and fm stations across the country. Affections to those affiliate listeners. Never forget them. Got badly of listeners all all different channels, all different categories. So multi multi-channel non-profit radio will let’s. Um, again, i love stories. This this is such a wrenching one. But that brings tio tio light this this first question of how many people benefited by how much? What was james urbanski up too? Just a little briefly in in rwanda in nineteen. Ninety four. Yeah. So, james opinsky was workings doctors without borders in rwanda in nineteen, ninety four during genocide on. And he was one of the only non-profit workers still there. When the genocide is happening on the story, it tells of a particularly have a long day for him. He was manning a tiny hospital, and it was just a huge number of casualties coming in far more than he could speak. And, uh, you know, the level of tom what? The severity of the council he’s. Very extreme, indeed. And that meant we had to do was in good. Doctor does and engage in triage. Uh, andi, because the conditions were so extreme, he actually he had to just sign each person coming in a number that actually scott taped to the forehead. So one meant fleet immediately. Two men wait on science. You know, it’s. Not as urgent plants, feet within the first twenty four hours. And so you men ever believable. And the best they could do was provide morphine and blankets so they could pass away and comfort. And this is obviously an absolutely harder but having situation to be in. Uh, but it still asleep. The importance of and the necessity of making hard strayed off. So if james urbanski had simply throwing up his hands and said, well, i’m just gonna speak whoever’s first in front of me, you’re gonna treat people randomly that would have been a much worse outcome he would have save a few lives would have helped far fewer people. Ah, nde, we might think, oh, it’s so lucky that, you know, we’re not in situations like this in a very real sense, our situation is similar whenever we’re trying to do good whenever philantech if charity or volunteermatch time where making decisions about who we help who don’t on dh, especially when it comes to charity, that could benefit, of course, people in the world these things literally are life and death for someone on dh that means we can’t just say, ok, i’ll just give, you know, whatever happened to have heard about whatever alien to me, we do need to go through this process of hard tradeoffs and thinking, how can i benefit people by as much as possible? Accepting that means we’re gonna help some people and not help others quality qu up? Sorry, q. A l y que es. El y what is ah, quality so quali it’s a little bit of technical terminology i used in my book and it’s metric used by health economists in order to assess the size of the impact of a health program. So what quality stands for is quality adjusted life year. The idea is that with two ways by which you can give someone a health benefit seriously, you khun extend someone’s life. So you, khun, make someone live longer than they would otherwise have lived and extending the life i’m or about les is only better. Or secondly, you conclude some quality of life while they’re still alive, accusing someone of migraines uh, we’ll extend their life, but it will make the quality of life better world of life and the quality adjusted life takes into account both of these way’s benefiting someone on dh enables us to make comparisons a ll different sorts of health programs so that you can work out which have the greatest benefit for that given the manner family you mentioned migraines. Your migraine sufferer yourself, right? Yeah. That’s like, yeah, i know. I learned from reading the book. I know you have migraines and back pain. This is sir. Yeah, i know. And they were very alien to me as i was lying right here. Anything, anything else going on that we should know about? Are you ok today? I’m doing pretty well today, okay? Very good. Okay. Now, typically on non-profit radio we have george in jail, but you did not transgress. Ah, but because you quickly defined and i am on the one who introduced quality, so you’re not you’re not a. You’re not a scofflaw subject to george in jail, so not to worry. If in case that was the case, i was causing your concern. Yes, there there guests who come out with a great deal of anxiety about jargon, jail. But you need to you needn’t worry at least not about quality, so so we can use that, yes, you’re welcome. We can use this measure to evaluate on rank the success and the effectiveness, the outcomes of different charities in the health related the missions. That’s exactly. Right. So the ideas if you, uh, do you know, cure someone of sight that would be moving. So the you survey data tto find out how bad different sorts of conditions are on dh people. The airplane today they’re kind of quality of life. A fifty percent compared tto foot being fully excited. And so if you can cure someone of blindness for two years, that would be moving from fifty percent to one hundred percent health quality of life for two years, which would equal one quality just like you. Okay, um and i think the take home for non-profits around this first question of the five is that you want to be sharing how you are improving lives and you want to show those metrics, if that’s your work that’s, right? And also, if you’re choosing between different programs, then it’s not enoughto look at you know how much does this cost a bed net? How much does how am i spending purty worming tablets or persons out? You actually want to find go that extra step and say okay for all these things. How is the action comes later. Hey, into people’s. Well being and if some programs and doing that helping far fewer people, we’re helping them buy much less in extent then you should probably be deeper advertising those and focusing on the ones that we do have the biggest impact. So it’s it’s these intermediate measures like distributing books or that you say, you know, the nets, that we shouldn’t be paying attention to its thie well, variously called i hear it, you know, the outcome or the impact of that? I mean, that middle activity that’s, exactly right on duitz particularly important because some of these intermediate netflix like distributing textbooks, as you say, actually don’t have any improvements, at least in some context, in terms of people’s well being, okay, all right, let’s, go to aa let’s, go to our second question, which is, is this the most effective thing that you can do, please flush out out? So the idea behind this question is the different social programs very massively and how impactful there on dh. In fact, most social programs, when tested seemed to have no impact at all, even among those that do, and even among those in fact, very good in terms of the impact. They have you can still do far, far more good if you choose to focus on the very best programs. Um on dh. That means that when we’re thinking about doing good it’s not enough to just think, okay, i want to make a difference. This thing has an impact. Therefore, it’s a good thing to do, but we need to ask, is this the most difference by making, uh and, you know, i give examples such as within mountain developing world education providing free school uniforms has a significant effect on improving educational outcomes. School attendant kayman for children in in subsaharan africa? Why is that what you might think? Yeah, why is that what’s that connection between school uniforms and improved performance? Yeah, so in many countries, it’s just a requirement the child has to have a school uniforms to ten school and you might think, you know, it’s a silly policy, but it does exist in some countries on dh that means that some families they just can’t afford school uniforms for that somewhat revealed seeming reason they can’t send their children to school her mind. So by providing a school uniforms with you, enable the family. Send the child to school. Remarkable. Yeah. Give us another. Can you send another example? I love these of including school attendance. Uh, it could be, but doesn’t have to be just just another example from the most effective method. Yeah. So another example. I mean, within healthcare amglobal health. Uh, the easiest to see. So there are many activities you can do that we’ll save lives tens of thousands or hundreds of thousands of dollars, like providing pants avectra vitals to be hiv, for example. But the most amazing example is the eradication of smallpox so far over sixty million lives since it was eradicated. Nineteen seventy that’s, actually, more lives would have been saved, have abdicated if we prevented all wars for political famines or genocide on all terrible effects from that time, that’s incredible. In terms of the death coul unification of smallpox was better than world peace on day only cost one point four billion dollars in the money of the time, which means the cost for life saved was about those twelve dollars, so it’s just extraordinary example of incredible impact. Yeah, uh, and even though spending ten thousand one hundred thousand dollars to save a life it’s, incredibly good use of money. Examples like smallpox show that the very best pieces of money just, you know, even better again. And we still have opportunities that almost as good as that. By distributing long lasting insecticide metoo bed nets to protect children from malaria. I’m such a screw the against malaria foundation. There you can save the life of about three and a half thousand dollars. Statistically, speaking on dh that’s again, just this absolutely huge impact and, you know, far, far better even than merely very good ways, right? Yeah. You do that in the book a few times, merely. Very good, but i exactly and there’s a big difference between that and the best. Right? Right on. I have to just repeat with something. You said that the eradication of smallpox was a larger lifesaver than world peace. Yeah. Then world peace would have bean would have would have been right. All right. Um, this is startling. In fact, in the whole twenty, essentially, even when you include world war one, world war two smallpox killed more people before it was eradicated than a war. Mmm. Damn. Yeah. It’s so? So moving especially i mean, we’re just this month was the anniversary of the the two nuclear bombs dropped in in japan for got taken and all those lives still more than all those lives and all the others in all the world wars. Mom. All right, so there’s a lesson here for non-profits again, in terms of what, where they’re going to focus their their time and precious money. Yeah, exactly. I mean, it really means, i think intuitively we think if something’s very good. So again, this is thinking about what programs you might see. You and charities often pursue a variety of different programs like oxen, what in several care, you know, whole big distribution it’s probably the case that some of these programs do way more good than others. So in business, you might have heard of the eighty twenty, where eighty percent of the value comes from twenty percent of the effort. But the same thing applies and charity or doing good as well. It’s just a spot in a small number of the programs that doing far, far maurine sons of impact than many others. And that’s. Why it’s crucial to find out what those are really scale those up and de emphasize those that are not that don’t don’t don’t measure up, you know, now we’ve been talking a lot about health and poverty. Where do cultural organizations fit into this? This methodology, our art and history, museums, theaters? How do they, how do they fit this scheme so ultimately? Ultimately, i think it’s going to be hard to justify donating toe, you know, are just three museums when the comparison is he could be donating toe saving lives and very poor countries. And i mean the way measure it is in terms of again how many people benefit and by how much so spending a certain amount elearning museum, how many people are being affected by this so obviously attending museums, wife sametz enriching experience, you could ask by how much and what people’s lives and how many people are coming through every year on then so that’s one thing, then there’s a second thing that you might think it’s just in-kind of reason to do charity that’s outside this framework. So but concerned about those sandwiches at helping people as much as possible, you might think it’s just intended clea very important, too. Uh, it was a great works of our preserve historical artifact on that might be lying again. I think, you know, we should think about the trade offs we have to make. So if you’re funding or spending the time on the museum, in-kind how valuable is it to deserve this work of art? Where? That’s cashed out in terms of the loss of the opportunity to be saving up people’s lives. Andi, i think as soon as you put the the decision, you know, in that in terms of that trade off, which is the decision we face, then i think it becomes quite that hard. It’s justifying, you know, spending philanthropic money on things like museums and a rather than lifesaving interventions in poor countries. All right, we’ll take a break, we’ll is going to stay with us, of course, for the for the second half. Well, mccaskill, the associate professor in philosophy at oxford university, of course, still with us. Well, let’s, let’s, you feel like we’ve done justice for ah, question number two is this the most? Effective thing you can do. Yeah, i think so. Ok, then. Guy had introduced the third question, please. Oh, the third question is, is this area and neglected on dh? I think that’s crucial because things in general have diminishing the terms. If you have one coffee that makes you feel great, you know, they enjoy it by the fourth or fifth thing you’re feeling kind of set on dh that’s just for social programs as well we can normally, and it comes out in two ways. One is, it means that you can do the most benefit people who are the very porous because the lowest hanging fruit in terms of things that improve people’s lives not yet been taken. Uh, andi that’s insect crucial because the scale of global inequalities so today so it’s actually almost unimaginably ugly, where the port of billion people in the world live on less than one dollar fifty on dh what that means is today and when what? What that one dollar fifty per day means is what one dollar fifty could buy in the us which if you think that it’s a bag of ice or something so it’s already taken to account the fact that money goes verbal overseas on dh, that means that in general, if you want to improve people’s lives, i’m focusing on the port of people, you know, often the most effective thing to do. And then the second aspect is focusing on neglected causes. Where, if a certain cause ariel, that he gets a huge amount of funding, then it’s just going to be very hard for your additional donations or additional effort. Latto have as much of an impact. Andan example, i give is talking about disaster. Believe, yes. Where? Yeah, where natural disasters. Because they’re so salient because they get so much publicity at they received muchmore in funding pro casualty than why we call ongoing natural disasters like, uh, tuberculosis, malaria on neglected tropical diseases, hiv aids. These are killing far more people every single day. The natural disasters do they get a lot less attention on dh? Therefore get this funding. And that means that you can do more good by donating to these ongoing problems than you can by donating toe natural disaster relief. And and yeah, that marginal dollar that you contribute does so much less around natural disaster relief than it can elsewhere in these. What you call the ongoing natural disasters that that’s the diminishing returns. Yeah, that’s, right. And that’s not to say that we shouldn’t have disaster relief. You certainly should. It’s very important that gets funded. The question has just given how everyone else is acting what’s. The additional benefit of my actions. Yes, that incremental and that’s it’s equivalent to the kinds of questions that james urbanski was asking in in rwanda. What what? What is the most effective thing that i can do? Where is my time on? Dh his expertise as a doctor best spent to be most effective. Yeah, on dh not dealing with the with a z you said, you know, as the cases came in, but we think that way we we see on cnn the disaster videos and all of a sudden there’s a text to give campaign and it’s so easy to do it. It’s just it’s dropped in our lap. But that’s not the best decision making. Yeah, i think so. I think this actually almost provides an argument explicitly against, um, donating our working on causes that you feel in-kind intuitively very emotionally compelled towards because it’s probably the case, that those are the things that most salient to you many other people also finding intuitively compelled towards and so a very heavily funded. So i think this is too for example, poverty in the united states so almost muscle poured education united states, uh, he’s a very salient probably see these big problems, but they’re very salient problems toe many people in the us, and that means they get much more attention than problems that are much less alien to us, even though they’re even more extreme, like provoc like extreme poverty, like terrible lack of education, basic health problems in poor countries. Listen here for ah, non-profits i think again around program choice, but also career choice. Why don’tyou around whether this is a neglected cars, when just let’s, let’s, talk on the individual level, a little around career choice. Yeah, so i talk a bit about, uh, a guy called big louis who became a doctor because he wanted to help people, and it was in the course of being a doctor. He is also very good statistician. You start to wonder, well, how much good does a doctor actually do? You know how much of an impact maybe we making in the world? And you think it might be obvious? So if you’re a surgeon and maybe a performing like sergent saving surgeries every day? No, the inside gregg hand was if he wasn’t that surgeon, then someone else would, uh, do the same work in his place. And in particular him becoming a doctor. It’s not like he’s, the average doctor in the us. There’s eight hundred fifty thousands positions. By becoming an extra doctor, he’d be just a hundred, a hundred fifty thousand first doctor. Yes. So? And when you know as a kind of healthcare system as a whole, you’re going to treat the most important, um ilsen elements first. So that the impact of an additional doctors just sleep in-kind more minor condition. And he incorporated that. Now zsystems ended up working out. He was doing an equivalent amount of good most in terms of quotes adjusted life years again, or qualities there was equivalent to about saving to a three lives so far, far less that actually you would have thought intuitively, yes. And that’s. Because as a doctor than of its country, like the u s and u k, all the kind of all the most effective how on dh programs and interventions are goingto be there going to be performed. Whatever you do, whether it’s in a very poor country than that, not nearly not nearly as likely to be the case, so again have a bigger impact there and is a second suspect as well. So greg actually ended up not pursuing medicine. I mean, not pursuing not going to africa or another poor country for some of some poor country in order to work there instead stayed working in the uk in order to do good to his donations instead on dh that’s relevant because it’s past not many people do again that is neglected coming on, and that means he could target his donations to the very most effective virality andi it’s, a path that i call earning to give twenty two good not just to your dahna kleber, but your ability to donate yes, choosing a career path that enables you to donate and target versus choosing a career path in the nonprofit ngo sector. That’s exactly like all right, all right. And i think often you, khun, you know, you’re able to pay for several charity workers with your donations, depending on sorts of opportunities you have available to you. You, uh you make the point, i think. Very eye opening that the average reader of this and certainly everybody in the u s everybody in the u s is the one percent that we have come to reviled through through the campaign, you know, the campaign against the one percent, um, that started he really here in the city, we’ll make that make that point for us about all of us being the one percent, yeah, so normally when people use the one percent provoc furling domestic inequality on going to people who are abuzz about three hundred fifty thousand dollars per year on domestic inequality is very extreme, and i’d like to see currency like the uk and us have a much more equal distribution of wealth. No, uh, it just pales in comparison to the scale of global inequality and, in fact, to be in the richest one percent worldwide, then you only need to be earning about fifty thousand dollars a zone individual post tax on. Certainly everyone in buy-in the u s is at least some of which is fifteen percent of the world’s population. So even people that we think is a very poor living on the poverty line in the united states, a stealing of its fifteen percent of the world on again piece a ll these figures are already taking to account the fact that money goes much further overseas. What’s called purchasing power parity adjusted on board, and i’m going to go to doug and dale that you will explain it, but i think he did it’s already adjusted for the difference of cost of living across across the different countries. That’s exactly why on dh so what this means, i mean it since it’s easy to see these figures and feel sadden to the floor, i actually think we should flip it around and think, well, actually, we could have this amazing opportunity. So by luck of being born into a rich country, you’re being able to move to a rich country where among the just people in the world on dh, that means we have an incredible power to do good just by transferring in hawaii is effective way some of those resources to the poorest people in the world and using some of the literature from happiness. Economics uh, i give estimates about just how big an impact should we expect that to be? And they call it the hundredfold multiplier. So even if all you were doing was literally just making yourself for the buy one dollar, making some very poor people in the world richer by one dollars, you would be having hunt. That money would have one hundred times the impact in terms of people’s well being. And so it’s. This extraordinary opportunity. We have startling, you know. I love yeah, okay, thank you for explaining that was a very uplifting comment and our explanation and i overstated it is there’s. Not everyone in the u s is in the one percent, but even those at poverty level in the u s are in the richest fifteen percent, askew said thank you, it’s, very startling. Dahna but we just have again about two minutes before before a break question number four is what would happen otherwise what’s going on here, so here the crucial issue is come the difference you make up the difference between the good you do and what would have happened, even if you’d not acted as you did. So one example is that’s relevant to non-profits i think is if you’re fund-raising so suppose you raise a million dollars in a fundraising campaign, you might think, oh, the amount of good i do is just the value of that million dollars from my charity, but you’ve got to think about what would have happened otherwise, how much of that money wood have been donated to some other charity, even if you do not run that fund-raising campaign on dh if it were the case. That it would all just being donated to some other charity on on the travel team is just as effective as you going. Actually, this fund-raising campaign had no impact at all. And some arguments for thinking that there is often the case over those charitable giving remains just two percent in the u s state. They fixed it that for quite some time, certainly i think we’ll seek peace. The effectiveness of many fund-raising campaigns, partly. You’re just taking money away from kayman other charities. I gotta leave it there because i don’t have time to go into it, but it’ll it’ll be increased demand for your book. Okay, okay. Okay. Yeah. Did you notice that i did not choose that drop? The producer chooses the drops, so i did not put that in to be provocative to you. So please don’t think that. Okay? That’s. Just purely coincidence. All right. So our fourth question. You know what would happen otherwise. So where’s a lesson that we can draw here for for non-profits before we move on to the fifth question, yeah, so one, like i said, was thinking about, you know, if you’re running a fund raising campaign, how much of the money would have been no need to be other ways if you can find to track that another is in terms of the impact and how you’re measuring the impact you’re having. So an example, i gave us a the scared straight program, very popular social program in the us, where juvenile delinquent skin taken to prison for a few hours to scare them out of a life of crime on dh on its face, it might look like an effective program because the juveniles go on to commit fewer climbs, that he had been committed in the past. So you might think, oh, therefore, the the program was effective, but that’s not thinking about what would have happened otherwise. And in fact, when the program’s being tested, it seems to increase rate to criminality. So if those juvenile delinquents hadn’t been taken on the scared straight program, they would have gone on to commit even fewer clients. Yeah, and that’s, obviously crucial it’s a program that’s actually doing harm for society. In fact, one estimate put suggested that for every dollar invested in the program, society bore the cost of two hundred thirty dollars as a result of increased canals. Startling, yeah, and scared straight has been the subject of cable tv shows and lots of popular press and yeah, remarkable. Ah, yeah. All right. Due to time, you know, we have tio we got to move to our our fifth question. What are the chances of success? And how good would it be? Great. And this is away toe compare very concrete ways of doing good. Like i was talking about sleeping bad net. So the women children with things are more than certain, like lobbying for political change or time expiate societal norms shift on dh you might think, oh, it’s, just impossible to make these comparisons unquantifiable but i think that’s too hasty on dh. So i think that you, khun, make progress on this by using the idea of expected value which is this idea looking at the probability of success and looking at just how good would success b on dh then you multiply those two together and that’s. The expected value. So if you’ve got a one in a hundred chance of saving one hundred lives, uh, i meant at least as good as you know, a guarantee of saving one life right point. Zero one times one hundred that’s like one in a hundred chance of saving a hundred people. Good as a guarantee of safe. What so, from one hand on dh flew this. I think you can start at least get a laugh. Comparisons of how good certain sorts of systemic change. Operations are i give one example again on a personal level of someone deciding whether to earn, to give, for deciding whether to go into politics and with her we look at what the odds of her successfully becoming an aunty or in the cabinet ministers in the uk come and then secondly, time looked like, well, if she were that successful, just how much of an impact would you be having on dh using this? We got conclusion, but it was likely that she be able to do an awful lot more good by becoming a politician, and i just kind of going to give him donating her the kind of concrete, measurable challenges on. So i think there’s, like power their toe have a more vigorous, reflective way of thinking about in a systemic or lower probability, but hyre upside change versus more concrete, measurable ways of doing it right. So to not fear that which has a low probability but which has an enormous pay off exactly was the smallpox eradication was that? Well, actually, no, you make a point that there was already some political will behind that, so that wasn’t deemed to be a very small probability of success at its out at its outset, was it? I think it probably waas was don’t know looking had ever been eradicated before on so it’s still, i think, would have seemed like a long shot on certain people. Marchal we did manage to achieve it. But again, yeah, even supposing that had just seen they thought, okay, this is only a ten percent chance of this working off center given, given the size of the how good the outcome would be, it would have clearly still being very worth doing. Yes. And so i think a lesson for non-profits is to not fear those low probability but very high payoff programs and work that’s what being effective, um, does not necessarily mean only doing things where you can quantify and a short time period, the impact you have it. Yeah. And of course in leading to the second, which leads directly into the second half of your book, which we don’t have time to do, we do another hour for that. But the concern about too much distraction and overemphasis on ceo pay and proportion of revenue that goes to overhead administrative costs those those those things are, i think you call them distractions. Yeah, i think that’s exactly like when you’re thinking about giving to a charity. You know, it’s just in the same way as if you were buying a laptop. You don’t care how much tim kirk is paid as a ceo. You don’t care how much apple spends on its administration costs. You just care about the quality of the products and how much that costs. And in new york city, he’s been advising employers on a wide range of labor and employment law matters since nineteen eighty three. He is president elect of the long island, new york chapter of the labor and employment relations association. Thomas l welcome to the studio. Nice to nice to be in your studio, tony. Good to see you here. I’m glad we could do it face to face. So employees versus independent contractor, it turns out, is not enough to just pay somebody buy-in voice. And then, while love they’re they’re an independent contractor. That’s absolutely enough if you want to get into trouble. But it’s not enough if you want to do it right. Okay, basically, whenever one person is performing services for another person or another company, the presumption is that there are an employee and that with everything that that entails, including federal taxes, state taxes, worker’s compensation benefits, unemployment insurance benefits, employee health benefits, things like that in order for them to be classified properly as an independent contract that there’s a number of tests that they need to meet and if they don’t meet those tests and accompany miss classifies employees big trouble with the department of labor. Okay, we’ll talk about the misclassification ramifications, and so now we’re talking about federal and state, the the where where is this test? This test is from the i r s and then and then well, is that the eleven points is that from the irs? Absolutely the irs the internal revenue service has an eleven point test, which is used for determining whether or not you have to take out taxes from people’s wages, okay, but every state also has its own version of the test. They’re they’re pretty similar, but in terms of whether or not you need to contribute for worker’s compensation benefits or unemployment insurance benefits, and they all apply pretty much the same type of tests to determine the employee status. Okay, so it sounds like you’re in pretty good shape if you’re following the irs test, which we’re going to talk about, but you still need to enquire at the state level or or you’re not, because you’re not a hundred percent safe if you’re doing. Following just the irs that’s, that’s absolutely true in other words, each state can have its own rules and merely complying with the federal law that that’s fine in terms of federal taxation. But certain states have have stricter rules with regard to treating people as independent contractors versus employees. So you need to see counsel in the state in which you practice. I practice in new york, so you know, my comments about any law would be limited to anything in new york state and federal law. Okay, we’ll stick with the federal with the caveat that you should check the state level, but you’re on your you’re well, on your way if you’re if you’re complying with the irs regs, i imagine, absolutely okay, okay, so are we these these eleven items? Eyes is basically around the relationship between the employed, the non-profit and the person doing the work. Absolutely the key elements in the test without without trying to go over check checklist abila talk on some of them were good, some of it’s, a degree of control that thie and i’m going to go. I’m going to use the term employer here, even though we may. Say it’s a contractual relationship, okay, but no, we’ll say or the employer of the company, the relationship between the company and the person performing the service is in an employment relationship. For example, the company tells the employees where to work, what time to show up what their duties are? Ah, and what do they report to who they’re going to supervise if they’re going to supervise anybody? Things like that in a relationship like that that’s that tends towards the employer employee relationship as opposed to an independent contractor for an independent contractor, you basically say here’s the job, here’s here’s, what i want you to accomplish, maybe cem general guidelines do it when you think it’s appropriate, although there may be deadlines set, but i’m not going to tell you how to do it. I’m not going to supervise you on a day to day basis. I’m not going to provide you with the materials to do it. You do it on your own and i’m simply going to pay you a fee, which is another important distinction there the fee basis versus an hourly or salary type basis? Okay, we’ll get to that. You you touched. On something that i want to explore a little bit, the place where the work is done. So you you can’t have the person always coming to your office to perform the work, know that you can’t have the person doing the work in your office. But it really that would depend on the nature of the work. For example, if, if you if you have employees doing the same work, and now you’re going to bring in somebody else from the outside to sit alongside your employees and do the same work, well, that’s an indicator not not it’s, not a single point test but it’s, an indicator of an employer employee relationship. Now, if this person has his or her own business on the outside, has business cards may work from more than one company at the same time, or one after another on it, since you’re simply hiring that outside company to perform services for a limited period of time, well, that it tends to lean more towards the independent contractor relationship. How do we balance these eleven? Which we’ll get into some detail about some of the others too? But is it ah, like majority, if you have, if you have six out of the eleven year okay, andi it’s going to go one way or the other based on a majority? Or how does it work? Well, there is no bright line test. Those lawyers like to say, i think to some extent you apply the duck test if it looks like a duck and walks like a duck, and quacks like a duck, it’s a duck it’s very fact specific and a trier of fact, whether it would be through the department of labor or worker’s compensation board or in a court of law would look at all of these factors and say, well, okay, the control factor tends to lean towards employees, but the independent company factor tends to lean towards independent contractor and way all of these factors together, and then come up with an answer. Okay, so these eleven points are are the things that iris is going to consider? This is what they’re going to look at, and they’re going to put it all together. And they’re going to make a decision. Absolutely. Okay. And i guess it would work similarly at the state level. Like when you mention department of labor. We’re talking about the state department of labor could be state of the state or the united states department of labor. There’s both and and they’re very interested because independent contractors aren’t entitled to overtime or minimum wage or anything like that. You you pay them a fee or you pay them. You pay a company a fee to do something and that’s. Fine. But if their employees and they work more than forty hours in a week, they’re entitled to overtime. Yeah, we may have time to get more into that. Right. Okay. Um, i think we will. Actually, um, what are some of the other side? The other factors in these in these eleven points? Well, as i mentioned it’s the ah it’s. How people are paid. Yeah. That’s a good one. Sorry. Let’s. Talk about that one. The fee versus fee versus salary. Right. Well, typically, an employee may get an hourly wage. May get a weekly salary. It’s generally, the relationship is often not always but often sort of. Open ended that is to say, we’re going to hire you, not necessarily for two week barrier or until you finish this job, but we’re going to hire you as an employee and keep you on, but we pay you on a pay check. Ah, as opposed to an independent contractor who would normally be paid through some voucher system or through through ah, obviously issuing a ten, ninety nine, which is the tax form for independent contractors and might be in a lump sum. It might be in regular payments, but it’s not based on number of hours worked or anything like that that again, depending on how you structure the deal, that would tend to lean more towards employees or more towards independent contractor. What about? I think you mentioned giving someone the tools to do the work so you shouldn’t be giving them ah, laptop tto do the work or or other things or certainly office space dedicated in the office? I mean, that’s tending to look like employment, right? When you’re giving them that stuff? Absolutely. If i say, come into my place of business and i’m going to give you everything you need to do. The job and you don’t have toe put anything on the table other than what i give you that’s the hallmark of an employee, as opposed to an independent contractor who brings their own knowledge, skills and tools to the table and does the job that you’re paying them to do. Um attorney thomas l let’s see if you’re if you’re the person who’s doing the work is getting their income from a bunch of different places. Is that that’s that’s? One of the factors, isn’t it that’s, clearly one of the factors, and and that would certainly militate or tend towards a finding of an independent contractor relationship? If you hire a company, the company may have its own letterhead may have its own invoices may have its own business cards may have an ad in the yellow pages for those of us who still actually use paper yellow pages or maybe a gn internet list thing nowadays. So if you hold yourself out as an independent company and maybe even filed company tax returns on have a company workers compensation policy, things like that that again would lean towards the independent contractor relationship rather than employees. If you are ah found by the irs to have misclassified people doing the work, would you expect that the irs is going to report to your state department of labor that they’ve found a misclassification? That’s, that’s a really good question, and i get asked that those kinds of questions a lot from lots of different employers, i tend to represent employers, and my understanding is no, they don’t necessarily do that. That particularly if you settle the case, the words that come to you and say you messed up, you need to pay x amount, and if you settle it voluntarily, they’re not going to go broadcasting it to the world so that there could be more agencies to come and knock on your door, because that would discourage you from settling in the first place that’s not to say that other agencies won’t find out about it. And certainly if the case were public, if you would have to go to court, which is a public record and other agencies saw that they could be knocking on your door as well, where do you see employers messing up? Well, it’s again, it’s the any of any of these factors will any or any role these factors? I have clients, and obviously i’m not going to mention names. Uh, i brought you for so it’s um, provocative, the name dropping. All right, i thought i’d like to keep practising law for a few more you’re not retired, they yeah, i have i have clients that have they’ll bring people in and they treat them as independent contractors and they say, well, they’re only going to be here for two months. I’m hiring them for a special project and i say yes, hiring see, that was the key word there on it doesn’t matter if you’re hyre it is a temporary employee or a permanent employee that’s one factor, but not not controlling temporary employees, their employees, so you have to treat them as contractors, and i’ve had a number of audits fromthe state workers compensation, border unemployment insurance division that come in and say you’re not paying premiums to these people because you’re not treating them as employees. Pay up. What? What are the penalties let’s talk about the federal level? What would you expect from the irs if ur misclassifying? Well again? In most cases, if if you own up to the to the mistake, you’ll certainly have to pay what’s owed but safe for the i r s not only will you have to pay what the employers share of the taxes wouldn’t really be, and they also have to pay the employees share of the tactics so security taxes that should have been paid exactly pay both the employer and the employee because the employer messes up, the irs isn’t going to go to the employees and say, by the way, some of that money you got, we want you to give some of it back. It’s, the employer’s responsibility to properly pay the employees. Okay, so the back taxes that were owed, what else? What else might be expect? Well, there, there could be civil penalties involved to or if it was done knowingly over a long period of time, with no knowing that you were violating the law usually second or third offenders, there could be some more severe penalties involved as well, you’re always welcome teo disagree with young arrests, right on contest there, their belief that you’re misclassifying absolutely, you know, just just cause the irs says so doesn’t make it so. But the presumption is that these people are employees, right, and it’s up to the employer to prove based on the law that these people are actually independent contractors. So if you if you want to fight them, you better have a pretty good case. Let’s move teo volunteers and interns what? What are what are non-profits often getting wrong around these? Well, the good news for not for not-for-profits we call them not-for-profits in new york, but non-profits same, the good news for non-profits is that you’re allowed tohave volunteers in the in the in the in the for-profit sector, you basically can’t have volunteers. Anybody who does work for you has to be paid, but in the in the nonprofit sector, you can’t have volunteers, but there are some rules about that as well. The work that’s being volunteered for can’t be the same kind of work that’s otherwise being done. In other words, you can’t have a paid clerical person sitting at a desk and then have somebody else come in and say, well, i’m going to volunteer and i’m going to do the same work sitting side by side the paid pearl really? All right, so let’s, let’s taken example of that suppose closed. You have employees that are preparing mailings. You’ve got a five thousand piece mailing going out and you don’t hyre ah, male house, you’re doing it inside and you’ve got people stuffing in printing, stuffing envelopes, putting stamps on, and then you bring some volunteers in to do that same work side by side with employees. That’s that’s, not a volunteer. I’d be very concerned about that. If i was the employer and i if i was their attorney, i would be tell saying we need to take a long, hard look at this because again, people sitting side by side, some people are being paid. Some people are, quote, unquote, volunteering very dangerous situation, even if the volunteers volunteered. I mean, even if they walked in and they love the mission, they’ve said, i want to help you. How can i help? And you said, well, we could use ten hours on, you know, over the weekend to put this mailing together well not-for-profits tend to be generally charitable, religious or religious organizations and the servant public purpose and that’s why they’re allowed tohave volunteers to some extent, but to the extent that you’re basically just doing the same work as other employees and saying, i don’t want to get paid for it, the law doesn’t really sanction such things. Oh, my, okay, i got to take a little tension because you mentioned for-profit companies, and i’m interested in that on the intern side. What about all the unpaid internships that are coming right now? It’s, it’s, summertime, what about those? Well, and you read about them all the time in the paper about the irs or the part you read about them in the new york journal? I don’t not seeing it in the where i’m seeing in popular, more more general press well, you get for-profit ce are allowed to have interns, but not that you can’t just but but i had on somebody and say, hi, you’re an intern, you’re going to work for me and you’re not going to get paid that would be violating the minimum wage laws for, among other things, but somebody can provide an internship if under certain circumstances, if they’re getting some sort of academic credit from an outside institution, if they are getting some sort of actual training from you that’s not specifically tailored to your organisation, but but taylor to their field of study, if they understand from the outset that they’re not going to get paid and that’s an internship also, it has to be a relationship where i understand from the outset otherwise it’s indentured servitude you tell them you’re getting gonna get paid, then they don’t they don’t see a paycheck. That’s ah, there’s got okay. That’s clearly got to be rolled. Believe it or not that’s that’s what? I passed that spelled out there. They have to understand that somebody’s done it. Yeah, all right, on. And also, they’re supposed to actually, because they’re an intern and learning from you, they’re supposed to be, if if anything, and impediments to the business not ah. Bonus to the business. In other words, if the business says we’re going to hyre fifty interns to do all sorts of work for us and make money for us that’s not really a bona fide internship, the purpose of the internship, the primary purpose is to give training to the intern, not to make money for the company. And if it’s really a benefit to the company that’s one of the factors that will be looked at to say these air not truly entrance. Okay, thank you for taking little digression in tow. For-profit i love it, you know, you you have these answers on top, your head man xero no notes, which i admire, i don’t like i don’t like notes, really? I have notes, but it is just off the top percent wonderful. I’ve been doing it for thirty plus years. I know you start to learn it if that helps. Yeah, yeah. So let’s go back to the non-profit side there are so the general rule is that you can’t have unpaid work as volunteers, but then there are these exceptions that we were starting to get into right if it’s a bona fide organization charitable. Organization and people are truly coming and say, i want to lend a hand to do you were having were having a blood drive or we’re having a a special event, and i’m a community member i’m going to come in and volunteer to give some of my time to help you that’s a true volunteer, but again, if if they’re volunteering simply to do work that the company not-for-profits would otherwise be paying for that’s a problem, employees of the not-for-profits basically can’t volunteer to give away free work. That’s interesting. I wonder if that comes up much. I don’t know. Well, if you see it well, i haven’t seen it, but it’s addressed in a number of decisions or regulations where somebody’s tried it. Yeah, obviously what’s in there? Yeah, right. That’s. Interesting. Okay, if you haven’t, i’d say you have an employee working for enough for-profit and and and there’s some child care. You’re going to sit with some child kind of simple. I don’t want to use the term baby sitting because that sounds majority, but some sort of ah monitoring situation, which is not within the normal scope of that employees work. That might be okay for a volunteer for the employees, but certainly the employees can volunteer to do additional work that employees already getting paid for. And where do you see non-profits making mistakes around the volunteer and in turn, well, i get calls from from some of my not non-profits and so, you know, we’ve got we’ve got all these people are in here and, you know, they’re here for, you know, ten or fifteen hours a week doing all this stuff, and i say, really, what’s your first question was where something well, i say, well, what are they doing? Art? Do you have other people that you’re paying to do the same work? And they’re working side by side? Are there are these people already employed by you? Because if they are that’s major red flag on dh again, if they’re duplicating or substituting their substituting for paid employees, that’s, that’s a problem? We’ve got somebody who’s out on a totally leave elearning leave a family medical leave act type of leave, so they’re gonna be out for twelve weeks, so we’re gonna have a volunteer filling for twelve weeks, okay? Do you have a sound of a klaxon in? Here or, you know piela only like that. But that’s just my voice is all we have is scary enough. Thrill enough weak enough as it is. That’s very bad. So paternity leave maternity leave. You can’t have a volunteer filling in. You’re basically saying, i’m going to have somebody do the same work as a paid employee, but i’m not going to pay them. No lost don’t let you do that. All right? I think that’s very interesting. All right, so what do we do, teo? To remedy this. So when your clients are then calling and there, then finding out in this call that they’re they’re running afoul, what do we do next? Well, i tell them aside, i’m obligated to do as an attorney. You should change this and you should start treating people correctly going forward because every day that you’re in violation of the labor laws or the or the tax code is is a new problem. If you change things today or tomorrow and start treating people properly, pay them, then you don’t really have a problem. And by the way, all you have to do to comply with most laws is pay minimum. Wage and you know you don’t you could have people have clerical people making fifteen dollars an hour. I need somebody to fill in, and i’m just going to pay the minimum wage. You can do that, you just can’t pay him nothing. You can’t have them volunteer if they’re not truly bona fide volunteers, can you work out some alternate form of compensation besides, besides money? Like maybe they get some benefits of services from the organization, i guess sort of a barter arrangements, but i’m thing thinking of is that is that possible barter arrangements are legal, but their taxable i don’t represent any barter companies, but i happen to have a close friend who’s involved in a bartering company, and i know that when party a’s trading goods or services with party be, both sides are issued ten, ninety nines and and the company, the bartering company, will report that to the irs. So if you just say instead of paying you seven twenty five an hour, which is the federal minimum wage, it’s hyre in new york state and a lot of other states, but instead of paying you seven twenty five an hour for forty hours, which is with two, two hundred ninety eight dollars a week. I’m going to give you two hundred ninety dollars, worth of free food, that’s that’s a taxable event and frankly, it doesn’t comply with the law. The fair labor standards act, which is the federal law that requires people get paid, requires that you get paid in cash or the equivalent of cash, not in goods and services they’re certain deductions allowed, but not completely excellent. Now we’re talking about federal and state law here, a cz well around the volunteers and interns, absolutely okay, so we’re talking mostly federal, but with the same qualification you need to check about check what the standards are in in your state are you? Are you still pretty well on your way to compliance? If you’re if you’re complying with what the irs requires, like like we said over on the independent contractor side e, i would say, you know, qualified lee, if that’s a word, if you’re complying with the federal rules, you are more than likely quality complying with state rules, but i certainly can’t give that as a guarantee without taking a look at the state rules, understand? Okay, let’s, spend a little a little time. We’re just a couple more minutes on overtime for employees. What is the problem here that you see? Big problem is that certain employees aren’t being paid overtime because employers think they don’t have to. And the biggest fallacy, the biggest myth that i see is and and employers and employees both believed this is that if you paid a salary, you don’t get overtime that’s not true, you need to be paid a salary in order to be considered exempt from overtime, but on ly, certain employees performing certain duties are exempt from overtime the main ones. I don’t talk about those one of those executives, administrators or administrative xero and professionals, so if you’re ah not for-profit ifyou’re ah, counselor, a psychologist, psychiatrist, a professional you’re not in your pay and you’re paid on a salary you’re not entitled to overtime, but you may be a highly highly paid administrative person who works closely with management. You may be exempt from overtime, but if you are a lower levels let’s, say, clerical person lower simply on the orc chart. Not in terms of your worth, but and you’re you don’t. Have it a lot of discretion and control doesn’t matter if you paid on a salary you’re entitled to overtime. If you work more than forty hours in a work week and that’s not waivable, you can’t agree not to take it. You can’t enter into a contract dipped in blood notarized doesn’t matter. You have to get paid for all hours worked at time and a half and not less than time and a half. Pay attention to the labor law. Welcome to the show. Thank you. Thank you for having me here. My pleasure, it’s. Cool. Glad you’re in studio um, the form nine ninety this is i thought this was strictly a burden and something to be not avoid it. We can’t avoid it, but there’s something to be done and kind of put in the closet. You don’t think so well, you’re right. A lot ofthe organization leaders thinks that it’s a burden and actually it’s it’s a great opportunity for organizations to show the world that all the good things that they’ve done in the in the year, and then it’s also a good opportunity for them. Um, tell the words how validate their run and in the past this forest scene, justus the farm files it tires and on ly to be shown ah potential donors or anybody coming to your office and basically asking for it. And now it’s vital they available on the web, especially the most common is the guide star. And because it’s out there it it gives an opportunity for organization to the marketing tool ok, and not only guide store, but state attorneys general, a lot of them have them. Can a lot of organizations put the nine ninety on their site themselves? Yes, it’s a sort of transparency, for example, in new york every not-for-profits lee, just with new york that files annual report with the state off new york they’re nine ninety, along with their financial statements, are on their website. So your advice is to think of this as a marketing tool it’s an opportunity? Yes, so if you see it as just a burden, and as most organizations currently do and don’t get enough attention, it can potentially hurt you. So i think about is some organizations for some, organ says is true that the nine nineties seen more than they’ll annual report, but they spent all the time and energy on the annual report make it perfect, but they only spent maybe a fraction off the time to get the nine ninety ready for filing, and we’re gonna have some. Time to talk about this. But you even suggest that people beyond accountant’s contribute to the nine. Ninety their final way. We’ll have a chance to talk about that. That’s. I love that advice. Okay, let’s. Just make sure that everybody understands what we mean. Nine, ninety, there are there are three nine nineties and you’re the expert. So when were you acquainted with the three? Yeah, the. Depending on the size ofthe organization, the organizations can file three different ninety forms. If they are under fifty thousand dollars in revenue. What they can do is they can file a form called nine ninety and which is also known as the postcard return and it’s, just basic information and a statement saying that the revenues were less than fifty thousand dollars. Okay, and with some states like new york, if you are over twenty five, then you have to file the night. Nineties eve, which is the next step. So organizations that are in revenues under two hundred thousand and in assets under five hundred thousand, they can file this form nine ninety easy, which is a shorter form. And the larger organization about the threshold can fire. They have. To file the form nine. Ninety, which is longer so just like we have individual ten forties and ten. Forty easy. Exactly. Nine. Ninety and nine. Ninety easy and then also the nine. Ninety n write really small for the under fifty thousand dollars in revenue. Right? But you raise an interesting point. Sometimes. It’s state regulations that govern which nine. Ninety you have to submit is that is that right? Could you mention new york? Yeah, a certain threshold for the easy. Right. So you have to look to your state and also to the i r s exactly. Okay, exactly. We’re not talking about the nine, ninety filing requirements here. Just i digressed a little bit. We have talked about the nine, ninety in the past. Especially with with jean takagi. So you could find those shows in the past. But we want to focus on the nine, ninety as a marketing tool. And part of your advice is that even if you’re able teo file the shorter form, you might want to do one that’s the next level up. Exactly. It depends on the purpose ofthe how you’re going to use it. For example, if you are a small organization under fifty thousand dollars. You may want to file the nine. Ninety easy to get your nine ninety on guidestar. So or ah, a lot of foundations, for example. They would like you to stop mitt at nine. Ninety easy or a nine. Ninety with grant applications. And, um, that’s. Another reason why you may wanna files piled the longer form in this case. And if you are ah going after donors and even if you are a small organization, if you can show that guarding all these good covenant practices and all these other things is just like, well, run is a large organization. I think it’s also helps it, but it’s getting funds. But if you do not have a purpose, i think it always cost more time and money to file the longer form. So i think it has to be ah, i violated in for individual circumstances. Fair enough, but something to consider. And i just love the different perspective is what i wanted to have you on the show. Different perspective of the nine. Ninety that it’s, you know, as we said, it’s not just no longer just buried anymore, but to look at it as a zoo marketing tool and therefore has to be consistent with all your other the what is the traditional marketing tools, right? Exactly? Yeah, for example, you don’t want to confused the word with sending mixed messages if your annual report is saying one thing and if you’re ninety saying another thing than it confuses people. So that’s one ofthe reasons why certain parts ofthe the nine ninety should not be done prepared by the countenance. It should be prepared by people who is also preparing other other marketing materials. Excellent. Okay, so let’s, get into some of the different place is in the form nine. Ninety, where you see marketing opportunities, what’s the you like thea program service. Accomplishments? Yeah. Where? Where is that? Where will people find that? On the night that could be on the second page off for my love. I love that you’re a nine. Ninety expert. You he doesn’t. He does not have the nine, ninety here in front of him. Which is what, like seventeen pages or something leaves twelve o on the schedule. And then the school was one of my many more starita he does not have a nine. Ninety here in studio with me is so when i asked him, like, what section is it? Andi knows the page, so i okay, you have the expert here, all of that. All right. So, um, you know, your your practices nine nineties. I love it all right. To the program. Service accomplishments. Your program serves accomplished. Mons to page two. Part three. It’s beautiful. Basically, organisations get the chance here. This is like the free marketing or pretended to tell the world the all the great things that you have accomplished in the in the past year and latto off times despite tires. Instructions. This is one place iris helps you market, as you mentioned, is in the instructions i response you to be specific. They want you to use non financial data, but a lot of organizations just they see there’s a burden. So year after year, they repeat the same thing. And the and the nine ninety preparation is buried in their finance department or of the outside consultant who’s doing it right. And they just want to know when it’s done exactly what you can’t fill. You need a number for page four line. Ninety three i don’t know, like, you know, you probably rolling your eyes. Oh, my god, what an amateur question ninety three’s not on page four, for christ sake, but that’s just the thing is just buried until it’s ready for signature basically right? It’s? Not so who? So we can have program officers doing the program service accomplishment section or something like that, right? So basic, the its funding to say this take like a food pantry. It’s one thing to say that you have served meals to low income people in the community and it’s another thing toe give some more specific you can say piela, sir, different fifty thousand different people eighty thousand meals during the years, so it gives more, more basically more impact. And people are seeing this on guide star and on your website. And of course, it needs to be consistent with your other marketing material. Exactly. School what? What else? What other opportunities to see in that section? So i’ll give you another example of that because, like, if you’re a membership organization, try to use it to recruit members and you fear with conferences wanting to say you spent hundred thousand dollars in this conference is another thing to say. Our conference was attended by twelve hundred people. We had sixty different sessions. You can name some off the station, including x y z. And we also had to networking opportunities again like this is anything you can tell tow people join you as a member for a membership organization. And can anything that you see that would attract donors are whoever you are trying to calm me. It’s like. All right, cool. Very good governance. There’s the governance section is this the section on the nine. Ninety relieve the governance? Yeah. There’s a section on ninety nine on the nine. Ninety deaths as out ofthe questions about the governor inspection number part part six off your nine nine beautiful love, the basically in that part, it’s asking out ofthe question some of these questions, such as, um, whistle blower policy and document destruction policy. These can be mandated by others. Other ah um pre-tax sarbanes oxley. Examples on the other set is dahna lorts state law, right? And new york will start mandating certain certain policies there as well. And some off thes policies are very easy to add up. So their templates out there it’s not a huge burden, and i encourage every every organization, if do they do not have a policy out there, just go look for a sample adapted and checked the box yes to show that they’re they’re well, well run and well covered and thiss foot reduced the potential all at risk and it’s also important to use that affection toe basically solicit new board members because one off the users off this maybe perspective what members looking at your nine ninety to see if this is our organs and joe, i want to join this organization, are they so they know what they’re thinking? It might be exposed to any risk by joining terms. All right, we gotta go out for a break. Your policy is to review the night ninety so in there you can explain, like how what process off leaving tonight ninety like does every boardmember sees the nine ninety who who looks at it, who prepares its who reviews it and how it gets wild, the other free form part. Is the conflict of interest policy. You can have different types. And who’s who’s monitoring. It goes who’s looking at it. And another part is the determination off the executive compensation. So what’s the policy around that looking at comparables like, do you have independent comity? Looking at it and documenting this decision? There are some some freeform parts over then within governments. Governance? Of course. Right. And we have talked about, i think, all those subjects that you just mentioned with with jean takagi when we’ve spent time on the appropriate governance and oversight. So this is a perfect dovetail. Um, how about you have something about the statement of functional expenses? Where will we find that? If we if we want to go into the nine ninety, um, that would be now little people. Nine off the ninety basically and, um, statement functional expenses. I believe you covered overhead. Mitt in in your previous shows, we have the we had the three signers of the overhead myth. That was on september sixteenth. The ceos of charity navigator, guidestar and better business bureau wise giving alliance. Yeah. So basically, i want to refer to that which is a great point they made and ah, out ofthe not-for-profits are too worried about their program service percentage and that, um, that they want to put like, as they reflect, i guess, everything they can in the program, and they should know that if it’s correct, so but sometimes like it gets to a point where they wanna look at things which is more like gray and, you know, they have the natural incentive to put more into program and not in management, general fund-raising and that doesn’t necessarily reflect the truth and ah, that’s area um, it’s sophisticated donor-centric e-giving and i ninety can tell that certain things are not correct there because certain things such as an audit, it has to be a hundred percent management general, accounting and audit is that, um so i think, it’s another point important here is that that schedule is done correctly so that a potential donor funders looking at it shouldn’t question anything accurate, so get on dh that one is the key. That was the whole message of the overhead myth letter is don’t feel you have to devote everything to to program at the expense of overhead, which can be very very important. Tisbury. So you have sophisticated people looking at your nine ninety, and you’re thinking of it as marketing. Keep that. Keep that in mind. We have to. We have just a couple minutes left. There’s a part of the nine. Ninety that you call a playground? Yes, that is that. That would be schedule. Oh, that’s a place where you can put anything that an organization can beat anything they want in there, so ah, i would use it as a, um what is it called? What is schedule? Oh, called, huh? I think it’s just called a schedule a it’s, like a supplementary information thinkit’s supplementary in formation. And basically, i would encourage organizations toe explain anything that might look unusual on the on the on the nine. Nineteen. Okay, for example, let’s say if they are starting a capital campaign and in that initial year they wouldn’t necessarily have to revenue yet, but they have all these fund-raising expenses. So if they’re fund-raising expense ratio is unusually high and this might be a place to explain that they’re going through the skips, the campaign and that they they’re also informing the public that they’re doing this. So it’s another place toe to use that for that. So outstanding, really interesting perspective on form nine ninety thank you very much. Thank you for my pleasure. Lisa jervis sitting closest to me is principal consultant for information ecology and janine shimatsu is specialist at forward together. Ladies welcome. Thank you. Thanks for having us should have you both. Thank you, lisa, why don’t you get us started? What? What? What are non-profits not really thinking strategically about when they need to collaborate in a virtual office? Sure. Well, let me tell you a little story that i think is representative of a lot of people’s experience. Love story. I got interested in distance collaboration back in two thousand nine, i was working as the operations director for an organisation in oakland, california called the center for media justice. We had seven staff and one location. We just all worked in our office, and that was that. And then we hired someone who lived in chicago, and my edie said to me, so next week amalia needs to be on staff meeting, so figure out how to make that happen. And i was like, oh, oh, i have to think about how to make this happen. We now have this whole employee who lives elsewhere and, you know, so i was like, well, this is easy. We’ll just have her call in to the conference phone. And so every week we start having these staff meetings where the seven of us would sit around the table and look at the conference bone call amalia, talk to us and we, you know, and we kind of stopped talking to each other and started all talking to the phone. And, you know, i just i started noticing all of these ways in which our work was going to have to change in order to accommodate this one new staff person we kept growing. We eventually grew to two offices and ten staff, and that staff included two people who work remotely in neither of the offices so way. Started to want to see each other in our staff meetings. We had people who could not get files because the vpn wasn’t very effective and they couldn’t access the file server. You know, there was just this full constellation of needs that duitz we ii as the operations person had not had an opportunity to philly. Think through because, you know, the was like we heard this person let’s just, you know, go and include her in things now and was like, oh, well, there’s a whole set of issues to think about janine, why don’t you help us out? What are what are some of the things we should be thinking about? Oh, and we have plenty of time together, so we’ll be able to talk about them. But just as an overview. What? Where where should we be thinking? In terms of in general. Yeah, well, there are a lot of components of effective distance collaboration. There is not only the conference in peace that we started talking about. There’s also file sharing. There is also chadband calendars. How we manage email. There are a whole there’s a whole gambit of stuff where things can go right. But also where they could go wrong and it’s really, really important for organisations to know what their needs are and to be able to meet those needs. Ok? And i’m it sounds like the organization should be thinking more than a week in advance uh, from lisa’s story well, at least to talk about her stories, but but more than a week is probably a good idea. It is a good idea, although that’s not always the way it happens, because as lisa was sharing that story, i was just laughing because very recently, i just found out that one of our staff, people who work from home just moved and i didn’t find out until after they moved that they’re no longer located in new york, they’re located in los angeles, and that has a whole other has a lot of implications, such as internet connection and all this i don’t know if they’re living with you, alan, if they are renting or what’s, the situation with their landler is, like or any of these things that would really affect how they’re going to be working with the rest of staff. How it’s going toe play into the system that we already have developed on dso yeah, more than a week or a day would be great. Okay. Okay. Lisa let’s, come back. What? Where? How do we break this down? What should we be thinking about? Sure. We’re planning either bring someone in or yeah, i mean, o r we’re a virtual organization now, and we don’t feel like we’re doing it very smartly. Sure. Well, there’s one main overarching consideration that i think that people often don’t realize. And it has to do with the way that the business press and a lot of collaboration tool vendors talk about remote work there, like, just get a good internet connection and our software, and nothing will change and you’ll be able to do everything. And, you know, the reality is that things will have to change and things there’s overhead involved in remote work. And if you don’t plan for it in your organizational plans in your meaning agendas and in your individual work plans, then you won’t actually have enough time to accomplish the work that you had planned to dio. And so i think the most important thing is just to remember to build in that overhead into all of your plans as faras specific areas of work, there’s, kind of three main aspects, there’s meetings, then there’s file sharing. And then they’re well, yeah, i mean, janine took a whole bunch of stuff. Calendar, chat, email, file sharing conferencing, yeah, yeah, and then there’s, the process of kind of and a separate piece ofwork. Just choosing your tools and making agreements together as an organization about how they’re going to be used. Okay, now, jean let’s, go back to your i thought email was an interesting one. Why, i mean, email. Seems to me to be a fine distance tool without needing any planning. What am i missing? Well, the email is a great tool, and it doesn’t always work the same in all organizations. And i think, culturally are. My organization in particular, uses e mail a lot, especially because we do have a lot of people who don’t work in the same office. You can’t do the same. Drop by, and you can respond whenever you want and that’s. Great. Um, email. I think protocols need to be set for email in terms of setting expectations with other people internally with what is appropriate and how your staff is going to work best, just as with any other form of communication. What are some ideas you have around what these protocols should be? Um well. That’s great. I’m gonna think about that. Okay, back, teo. I mean, i have i have an answer a little bit. I mean, it does depend on the organization. It really is just about making agreements about what’s reasonable and what works for for the staff. I mean, in one organization that i worked in, we had a twenty four hour turnaround time agreement for internal emails. But if you needed something faster than that, you had to use another method. It was an agreement that we made as a staff that for emergencies, you will text or chat or call, you know, because those air, more immediate things, like people were not expected to be on their email, you know, within five minutes. And so you just couldn’t email about goings, and then i’m thinking, two security is that that’s an issue for people who are remote email preservation? I mean, these things well, it’s, just as we thought about security, yes, i mean, absolute security is an issue, whether your remote or not, but it certainly plays into very much what tools you select, who you’re willing tohave host your files. How you’re going to protect those files. What kind of configuration tresses you need, and so in-kind of determining what i like to call on organizations, collaboration, profile. Um, security security needs a really important part of that. Okay, you’re tuned to non-profit radio. Tony martignetti also hosts a podcast for the chronicle of philanthropy. Well, basically involves assessing your organization to help you choose and configure your tools and make these kinds of communication agreements. And so, you know, because not every organization is going to have the same needs and so questions to consider our you know, how many staff do you have? How many time zones are you working across? How many different roles are functions? Are people fulfilling? Is it just staff that your systems are going to be set up for? Or is it do you also need to include program participants are volunteers in your information systems, you know? And then there are some organizational culture. Things like janine was getting at about, you know, is email going to be the best way i would like to be on the phone or, you know, those kinds of work style questions. And then, as you noted, their security security questions, like, what kinds of information are we storing in transferring? Does it contain any personally identifiable information that may need to be protected and, you know, subject to regulate regulations like hippa or others, you know, is your organization or are your partners? And participants potentially targets of information breach attempts by political enemies. I mean, it sounds a little weird, and i don’t think that but it’s really, depending on the kind of work you’re doing exactly very real. Exactly. So that’s all all of those factors go into choosing. What are the most appropriate tools? Okay. Your communications protocol? Yes. Okay, janine, you want to take us to one of the other one of the topics you mentioned, like conferencing or file sharing or calendars? Uh, let’s talk about calendar going ok, please do i love calendars? My organization works in three different time zones right now, and, uh, we are currently using google calendars, and but i think the same principles that i’m about to talk about what applied teo, if you’re using outlook or many of the other calendar ring systems that are available. But i really can’t imagine being ableto work with other people, especially across geography, without being able tio very quickly and very effectively see when people are available and, you know, not have to like talk about negotiate meeting time. And you can also get us not only when people are available, but you can. Also, get a glance of what people are doing, and you get so much information from being able to view someone’s calendar um, sametz it’s okay, anything you want to add on a calendar, i mean, just that it’s sometimes it can be a struggle to actually get people to use an electoral elektronik counter that’s, not your organization or culture. And so that’s one of the changes that you’re really gonna have too many murders, there was a heavy side were story around that are well, yeah, i do have a story around that, actually, because when we moved over to using teo for when we moved over to having our entire organization using the calendar, it was a bit of ah, push because people are really attached to their paper calendars. There’s something about having the tactile feel, a planner that people really didn’t want to let go of and even still, you know, r executive director, she doesn’t manage her own calendar and that’s, this is kind of a system where everyone has to participate. Otherwise it doesn’t work, and we only have one exception and it’s because that staff person has an entirely other staff person. To manage a calendar for her s o it really does. That is this is somewhere it’s great. And also you need everyone’s cooperation with it for it to work. Okay, let’s, look at, uh, what about file sharing? That sounds like a pretty big, pretty big topic. I want to start off. File sharing doesn’t matter. I mean, you’ve just gone through this big file sharing change, okay, so my organization was using an internally managed file server and we’ve grown a lot over the past few years. So before really similar to what lisa had described earlier, we were one location with one person working out of their home office, and they would connect into the server via a vpn and it was okay. But as we’ve grown over the past few years, we’ve expanded into a satellite office, three different time zones, and now a third of our staff are working outside of that main office and the connection people were just not able to access their files, and it was just really, really awful sze really difficult for people. And so we we made the decision to move teo cloud file sharing it’s been a really good decision for us, especially because hyre, you know, it’s, our remote staffer, just so thrilled. It is a transition that required a lot of communication with staff and training and ongoing support. So even though our migration is done, the work is certainly not over with it. And it’s definitely that situation where it was not as easy as the vendor head or originally express there’s a lot more that went into it way have to think a lot about the learning curve. Yes, on dh training time, etcetera. Good. Well, that these the learning curve in the training are very important, but it’s also really changing people’s habits about where they keep their files. I mean, if you have a situation like that janine’s organization where you can’t access the vpn reliably so you just start storing all of your working documents on your hard drive. Then when you fixed the situation and get a centralized file repository that works, people are still in the habit of keeping things locally and getting them to remember to file documents centrally when they’re finished getting them, too. Be familiar with e centralized file structure so they can find the things they need, getting them out of the habit. I mean, i don’t know if this was happening to eugene, but when i was the operations director in this kind of situation i would get requests for from people for me to go on the server and email them. A file if they were outside the office and as you can imagine, that’s a it’s, a it’s challenging from a time management perspective for everyone to have to do that. But once people are in the habit of it, it could be hard to get them to stop. Okay. That’s. Excellent. That’s encouraging. How do we how do we get the the universal buy-in that we need? Janine? You mentioned it for the calendar ring. Essential, but obviously essential for file sharing, too. I’m thinking mostly of the structure. Like somebody some. Maybe you do this collaboratively. You come up with the literal file structure or does one person impose it and say this way? Believe this. I believe this makes the most sense. And so please comply. Oh, man. I mean that’s a really hard one. What did your tio thoughts? Well, when i initially started this conversation with people on the organization, i asked them what, in an ideal situation, what would they get out? What would they be able to do? What would be a great situation for them? And i think by starting the conversation that way, people felt like they had some say and then whatever the new solution, wass and not only that it really helped that i had buy-in fromthe leadership at my organization, there was a very clear signal to staff that this is the direction that we were going in, and people have to get on the bus, so yeah, okay, so some collaboration and some some input gathering, but in the end, somebody’s gotta decide and everybody’s gotta gotta agree pretty much. I mean, participate, even if you don’t agree. Yeah, yeah, disagree and commit is okay, but i think that i mean, what i have, what i often recommend two clients is that one person, the kind of the point person on the file migration project, whoever that is, should be someone who is really familiar with all of the organizational files, and they kind of come up with the top level structure that makes sense and is aligned with the way the organization works. But then, as you drill down deeper, you know, everyone people have tohave dominion and control over their most direct area of work files, because if you try to impose a taxonomy on people and it doesn’t work for them, it’s chaos and they will rebel, so autonomy is important, okay, at least at the the more granular level. Yes, ok, yeah, i mean, the important thing is really that there are some principles that are clear and communicate a ble to everyone. You’re never everywhere. Clients always come to me and say, we want an intuitive file directory and it’s like, well, you can’t have that, because what’s intuitive for one person is not into it for somebody else to, as long as you’re working off some clear principles that everyone can agree on. That’s what you want, four. Okay, gene, anything you want to add to the file sharing conversation. All right, now think. Well, we have child jack, one of the issues around chatting some people don’t like to log in to chat, you know? And i think that for me and the organizations that i’ve worked in the most effective uses of chat or when people are just in the habit of logging in in the morning so they have theirs, the presence, visibility indicator, you know, i’m here, i’m not here yet, i’m in a meeting, you know, and that is a really, really easy way to communicate your co workers where you are and if you’re available. But again, it’s a big habit shift for some people. I mean, i was doing in-kind part time gig at a very, very large organization with two offices and like, i mean, twenty thousand people in the whole organization and a hundred people in my kind of immediate department, and there were a few people who just never logged and it’s, like i saw this person i know she’s here, but her chad says that she is, you know, presence unknown, and so, you know, you can’t make people, unfortunately, what do you end up doing? And this could have lied beyond chat. Any of the any of the areas. We’re talking about. What you do with the people who are recalcitrant. Anybody who has a suggestion, what do you do? I mean, there’s a whole methodology of change management. I mean, it’s a whole field of study. And so i think that, like, any technology project, but particularly justin collaboration, really delving into change management and having a plan for it, which involves communication training, reinforcement oppcoll, you know, it’s it’s complicated. Okay, well, that’s, that’s an important thing to know anything more gin, anyone i’ll just echo that nothing people to change their habits is really it can be really difficult. Or, you know, a lot of times people at my organisation will log in, but they won’t update statuses, so oh, i’ll just wonder, wow, is that person unavailable all day? All day there and available? I’m not going to be interrupting them and something really important if i i am not, um but it’s, i think i will say that for the people that use it, it is great. Okay, so ah, good outcome is definitely achievable again. Yeah. I mean, i have one. I think my kind of most successful change management story is very, very small. But at an old employer, one of the things that i had to do was get people to fill. Out their online time sheets and no one wanted to do it because that’s a slog and it is, you know, they perceive it as a waste of time, and it kind of is except that i was in charge of the bookkeeping and i couldn’t allocate our totals for the month properly and closed the books until everyone in the organization and filled out their time sheets. And so reminders didn’t work. Nothing worked until, you know, and this i think this’s particular indicative of small organizations where people really have each other’s backs is i just such everyone i was like, look, you guys, you’re making my life a lot harder, there’s this crucial task that i can’t do and prevents us from getting accurate financial reports, and you’re making my life frustrating because you’re not doing this, and that was the thing that got people to do it all right, some guilt. I like to think of it more as a personal connection way a accountability to your co workers, and he was getting them to really understand why they had to do this piece of bureaucratic work that it actually had meaning in the organization it wasn’t just a piece of bureaucratic work. Prospector platform at pursuing dot com. I would i suggest you take a look at that. Check it out. Charity registration. I’ve been getting a lot of enquiries recently about charity registration. I was just interviewed on another podcast on this subject. Jo garics, the fund-raising authority that’s the name of his podcast that these are the requirements that you be registered in each state where you solicit donations. So if there’s a florida charity and they are sending email to georgia and maybe hosting events in south carolina, then that florida charity needs to be registered not only in florida but also in georgia on dh south carolina and this is different than incorporating enjoy in florida, where you you know, if this is again a florida based charity there incorporated in florida, this is very different in that it’s sort of parallel because it involves charities but it’s not incorporating your non-profit this is registering with state authorities to solicit donations in florida and also georgia, south carolina and wherever else you might be so sitting donations it’s a real morass because each state has its own forms and timetables and fees and definitions of what is a solicitation? That’s, that’s really? Where you start? What is a solicitation? The examples i gave, like email and u s mail those air solicitations in just about everywhere u s mail is a solicitation guaranteed every state. Ah, no state is goingto make exception for u s mail. Email is so ubiquitous and it’s ah, solicitation in so many states that you might as well just consider email a solicitation everywhere there are some states that haven’t caught up with technology, not like email is anything i can’t even i was anything new, but there are states that who’s legislatures, you know, haven’t codified whether email is a solicitation, but it isn’t so many states. I think you should just consider it also, if you’re hosting events in different states, if you are buying ad space in publications, in other states, these air, all solicitations and you need to be registered with the state authorities everywhere is that you are soliciting. Um sometimes i’m asked why this is important and you know why i bother? It is true that there aren’t that many enforcement actions enforcement is rare, but your irs form nine ninety hopefully you’re filing that each year that is signed under penalty of perjury by an officer, and it enquires about your compliance with thes state laws. So that’s, the irs enquiring about state law compliance on also your board is potentially liable. Jean takagi and i have talked about this. They are fiduciaries to your organization and if you’re not in compliance with laws, your board could board members individually could potentially be liable. Obstacles and obligations. Sounds a la menace on the obligation side. Tom oberg. Welcome. Thank you. We’ll get to talk about all three. We got plenty of time together, so maybe it’s. Not so ominous, but there’s, obviously, things that you thinking about. Lots of things are in the clouds. Why might files make sense for a non-profit, you know, for a while emails sort of in the big thing to move the cloud and that’s dahna that there’s been a lot of good options for doing that? And as people have been more comfortable with moving to the cloud and using tools that both from in their personal lives and in their work lives, um, it’s it’s started to make sense to have their files available, maur remotely in various places and to be able to get access to things beyond the walls of their their office and the tools available do that have been involving and getting better as well. So the other piece that’s made this start to happen is it for a lot of smaller organizations who may have had big file servers, those take a lot of effort to keep moving, and as your file server needs to be upgraded, our updated one option is to say, you know, we’re just not going to do that anymore and pay those costs. We’re going to move our files to the cloud and be able to access things i’m a little bit a little bit easier could also be a distributed environment. You might be have employees who are off site virtual organization and that made that maybe a stimulus. Also, it isthe yeah, in our session this morning, we had a lot of that was one of the things we talked about, why why do this? Why are people doing it? And it ran, you know, there are a lot of different reasons, but, you know, some people said, well, we have sixty locations where we’re trying to have people work and tryingto have sixty servers or one server that everybody tries to get into remotely it’s just it’s very hard. So if they khun you something like office three, sixty five or google drive or drop box or box, that could be really good option. Okay? And when we talk about some of the tools you later on, ok? Yeah, all right, because i don’t want to ask you anything that you didn’t prepare for your your workshop, but if we could talk about some of tools that will be helpful. Yeah, how do we start to make this plan? Well, is there anything more you can say? About how we shouldn’t what we should be thinking about to decide whether this makes sense for us as an organization. Yeah, we’re questions we should be asking, yeah, maybe yeah, there’s, there’s lots of questions on dh lots of that was sort of in my presentation, the whole obligations, things like how do you how do you not make your staff cry? That was that was what we were talking about because you don’t want to make him cry. That’s, that’s sort of a rule at number it’s and and doing this kind of project moving files from where people are used to getting them to someplace else can freak people out a little bit. Eso, you know, how do you do that in a good way? And so the organization first, like you’re saying, needs to figure out why why do we want to do this? What? Why does this make? Is this a good idea for our organization? And again, it could be a lot of different things, but but often it’s about doing it in a way where we can get access to the things we need to be able to do our work and meet. Our mission do it in a way where people can get at things from wherever they are and that they can have some assurance that the files they’re working with are the ones they should be working that it’s not, you know, there’s one on my my documents folder and there’s. Another one heard another one there. So what’s ah what’s our next step we are we ready to think about what tools they are be appropriate to do this after we’ve made. We’ve now made our decision that we’re it’s going to be beneficial to us. Yeah, yeah, i think if you know if the organization said okay, this is this the direction we’re going to go part of what i was talking about was, you know, it’s it’s more than just a thing to do, it’s a project and so having a plan a project plan is is is really important, and part of that is the is the tool selection, and we can we can talk about that. Some of the other things that that really need to be thought through are things like what’s, the timeline that that you’re going to use to do this kind of project. Who are the people who are going to be involved in it? Are we going to try and do it in house? Are we goingto use consultants to help out? And we’re going to have, you know, certain teams that are going to be kind of internal champions. They’re going to help help do this, which is something i recommend people doing. So you get some early buy-in from some key people and maybe keep teams or something, if, you know, if the accounting department has an accountant who thinks this is a good idea, it’s going to go a whole lot smoother than if you don’t have somebody there doing okay, so yeah. So some key key allies? Yes, indeed, indeed. Makes this kind of thing much, much easier. Okay, yeah, go ahead. So, yeah. So then we can talk about tools if you want to move to that. Some of the options. Yeah, go ahead. Let zoho you mentioned office three sixty five. Google docks. Obviously. Dr google drive drop box box box is his box of variation of drop box. It’s not. And we have to be a little careful because we’re here in austin. And what i didn’t know before i came here is that this is the home of box. So box is is a company that that has a tool that is sort of like dropbox, the differentiation i’ve heard before is that drop box kind of started as a consumer tool and box started as more of a corporate organisational in-kind of tulle and they’ve they’ve kind of met in the middle a little bit. The box offers more consumer stuff drop box now has drop box for business, but bso boxes here, there now is box one x or two or three they’re not triple x are they are not as far as i know, just one ex, okay? Just once we’re in the booth next to flux and their two exes. Well, but boxes only one act, but box is only one issue so people can find it. And yet and they’re here at the conference. And yeah, and so their their tool is something that you can you can download ah, little application that could be on your on your desk top so you can synchronise things to your desktop. But they’re also is the web interface for it. That’s very, very useful. You, khun, look at the files that air there. You, khun have some viewers where you khun view some files online and you can even beyond the web durney a portion of it. And if you have the correct application on your desk top, it’ll open up the file from the web in your desktop. And then when you do a save, it saves. It back-up down into the web. Big differences you see between dropbox and box, aside from their their culture, where they where they began and how they migrated to the center. Yeah. I think that’s one of the biggest things, one of the things i’ve seen, and we saw this in the in the session this morning is that because non-profits are who they are drop box has been free, just the plane drop box has been free and so people have gotten comfortable using it and, um, use it in organisations, whether the organization knows about it or not. And so what do you mean, how could you be using it if if you don’t know about it? Well, what i mean is that you as an individual employees may have found something like dropbox useful in getting your work done, but the the i t department, if you have one, may not know that you have it on one of the quotes that i put into the session today was that what i’ve found is that people will get their work done one way or another, and that means whether they use the tools you give them with you, with you or against you with you or against you or without you or whatever happens. And so the you know, some problems that non-profits ran into using dropbox is that it’s a personal kind of thing and staff can leave or maybe it’s a volunteer, and then maybe those files disappeared too. And so drop box now has drop box for business, where the organization can have some control. People can still use both their personal drop box and the the business files that are being shared with them. But if they leave the organization, the organization can stop access to those files, so they have some control and box has a similar thing. They just no it’s it’s been a pay service, and so i think fewer non-profits have used it in in the past, but many of them are learning they need some of this control, and that makes both of those both those products useful, and they both have non-profit discounts to i should mention that let’s move to office. Three sixty five yeah, it’s a big one and and partly it’s really big for non-profits right now because it used to be if you’re non-profit you want to kind of move to the cloud, especially with female, the player was google because that was free. You could get google apse for non-profits for free, but last year, microsoft made a version of office three sixty five free for non-profits as well, and so especially for non-profits that are using our windows based oppcoll it isn’t very attractive, offering and it’s basically a big server in the sky that you can interact with so there’s the email piece outlook works very well with it. And then there kind of two parts of the file storage piece. One is called one dr up and one drive for business, and then there’s sharepoint are sharepoint online. It’s the piece that’s, that’s, part of office three sixty five so if you have office three sixty five, you can use both of those tools, at least at this point. What microsoft says is that one drive, which has pretty much unlimited storage, is it’s kind of your new my documents area it’s for you to have your own personal files, and if you want to share them out with someone, you can do that, but by the individual file and then share point is mohr for creating an organizational structure for your documents. So you have document libraries within a sharepoint site and you, khun, you can upload files and have them available to people. In both cases. You, khun synchronize back to your desktop. Also sharepoint been around forever as a server based tool. And in the sharepoint online is the cloud version of it. And it it’s, very powerful. It can take a little bit more set up bonem to be able tio structure everything the way you want it. Do you need to be expert user too? Just to set up a share point? Um, i think office three sixty five in general has fairly easy administrative controls. But the mohr knowledge, you have the mohr functional, you can make it. So having some kind of it t advising on it, i think is good. Whether it’s, an internal person where you’ve maybe sent them to get some training, an external person, whatever, whatever it is it’s, it’s. Pretty straightforward. But there they are things here and there. And with this file piece, we talked about this a lot, and we had a lot of stories come up this morning in the session. There are some limitations of how you need to get your file. If you’re gonna move files into sharepoint, especially there’s. Some limitations you have. To watch for the migration that the whole migration piece there’s. How long are the file names and the directory structures? What kind of files? Khun move? How many can be synchronized back to your desktop? There’s someone, some, some limitations in there that you need to be aware of. Or else you can have some surprises as you move into the process. Hyre what about the document tools in in ofthis three, sixty five word, power point, etcetera? You’re getting sort of, ah, light version of those compared to what you see on your desktop. Yes, you are. But for all of this and especially office three, sixty five, it has been evolving, and they’re putting a great deal of effort into augmenting those tools and making things a cz useful is possible. So dahna, word online, powerpoint online, excel online are very useful, and you can get basic editing done in any of those. If you want to do more things, you know, create a table contents or some of the more detailed document kinds of things. It’s. Easier to use the applications themselves, okay. What about google drive? Yeah, you know, it’s been around a long time, we also when i had people raised their hands about what tools are you using in the organization? The same hands came up for multiple things what’s happening is that all of this has been evolving a lot, and i think people are still trying to get some kind of getting a handle on how to manage files as they go to the cloud so that they’re adopting everything and seeing what works best for them. I think so. And i think it’s ah, it’s this push pull of staff again trying to get their work done and using tools that, you know, maybe they find someone who has shared something with them from another organization and drop box than they put drop box on their desktop so they can do that now they’re using that buy-in but and and so and google drive has been around for a while google docks, and so people are comfortable with it. So it’s one of those ones that that a lot of folks are using it. The quote i had from google and my slide wass for google drive. Was designed to work with google and to me that’s the if there’s a caveat. That’s, that’s the caveat is that it’s best if you want to kind of go all in with google docks and google spreadsheets and, you know, google slides and things like that? Dahna it’s, it’s a little bit easier. Two use other tools if you’re going to use straight microsoft word documents and things like that, you can still store those things in there, but, you know, it’s it’s a little easier to kind of go all in with the google stuff and then and then use those do you see us going to getting to a place where there’s there’s, google doc and there’s and there’s microsoft onda office docks, which would be in which which would be counterintuitive to the way most of computing is going? Yeah, you know, i think they’ll they’ll keep, um, trying to support each other and still trying to keep you know, their own thing so that i mean, there is some way to bring in where documents in into google thing it’s impossible to do it right, but you get the maximum benefit maximum management tools if you’re if you’re using the native? Yeah, native google doc with google drive? Yep. And and so microsoft trying to kind of push you into office three sixty five by doing things like building in access from the word application that you run on your desktop building in dahna a way to grab things from office three. Sixty five directly in there so that that that communication is as easy as possible so that we’ll try and kind of have you worked with all of those all of their tools. What about some obstacles to avoid that za part of your your your topic to yeah. Yeah. This is the ominous part. Wasn’t through with the obligations were no. I said obligations are ominous, but we just start with obstacles. Yeah, yeah, we want to keep it. And really, when i said obstacles, some of what i meant wass things to think through it’s, it’s the issues to kind of think through before you start doing a project, like talking about it. And and so we talked about, you know, sort of the file preparation and migration piece, but there’s other things to think about, too training for your staff. Is going to be, um, a big thing what’s the schedule going to be for people went, when is the change actually gonna happen? People are gonna want to know where their files are. Are they here today and over here tomorrow? And then it didn’t work, and then we’re back over here again. Or how is this? How is this all gonna work and bandwidth? There’s another one that we talked about is we’re talking about the cloud. We’re talking about the internet now where moving files back and forth from, you know, not just on our own network, but through the internet, which we have a little bit less control over, but we can try and have a cz much control as as we can get. So, um, thinking about how good is our internet connection, not just the download speed, but also the upload speed? Because now we’re pushing our changes up. Yeah, so that’s important to think through and the other thing that we end up talking to people about is so you’re moving to a cloud, maybe you’re using sales force and office three, sixty five so all of your important data is on the internet what if your dea cell line goes down? Is everybody just done for the day you sent everybody home? Or do you need to think about getting both the d s l line and a cable line and maybe a box that can kind of coordinate the two things? If one goes down, you go to the other and things like that. So trying to think about how we make sure we are online all the time starts to be a kind of ah bigger issue for folks. We haven’t talked about security buy-in thiss was a huge issue when the clouds start to become popular. I don’t see it getting as much attention now, but it’s still important mean, especially we’re talking about c r m our database? Yeah, that could be credit card numbers, dates of birth, lots of personal information. Yeah, i mean it’s, it’s, huge and it’s potentially depending on what you put there. Right? Right. And so there’s. Sort of. Ah, due diligence that needs to be done on whatever vendor you’re going to go with. Microsoft has a whole website about how it treats security in office. Three sixty five we had somebody. Bring up in the session this morning that they had gone with, i think box because it specifically talked about hippa compliance, and that was important to them. Um, you know, we kind of have to agree that the nsa is just going to look at all of it. So i guess we take that out of the picture, but it sort of depends on both your organizational culture and the kinds of data that you’re dealing with to see how important that stuff is. And i will say at the same time, it it’s we need to be thinking about it. And it’s, not a new issue. I still run into places where there’s the file server with a notebook with the password to get into the file server sitting right next to it. So, you know, it’s, it’s, new and it’s old, we’re going to get there. All right? It’s your soul. That sounds like a good place. Stop. Okay.
